BUSINESS SERVICE HANDBOOK

This Business Service Handbook (the Handbook) is entered into by and between Client Name: and Service Provider Name: . The parties adopt the policies, procedures and contractual terms set forth below as governing the delivery of services and the parties' relationship.

WHEREAS

DEFINITIONS

For purposes of this Handbook: "Services" means the deliverables and work efforts described in the Scope of Work; "Confidential Information" means non-public business, technical, financial or other information disclosed by either party that is marked confidential or would reasonably be understood to be confidential; "Effective Date" means the date specified in the Term section below.

Either party may terminate for material breach if the breaching party fails to cure within the notice period specified above. Termination for convenience is permitted upon written notice and payment of fees accrued through the effective date of termination.

CONFIDENTIALITY

Each party shall retain in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform the Services. Confidential Information shall not include information that is publicly known through no fault of the receiving party, independently developed by the receiving party, or rightfully received from a third party without restriction. Upon termination, the receiving party shall promptly return or destroy Confidential Information as requested.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, pre-existing intellectual property remains the property of the originating party. Work product specifically commissioned and paid for under this Handbook shall be assigned to Client upon full payment, except for any underlying tools, methodologies or templates retained by the Service Provider. The parties shall execute any further instruments reasonably required to effect such assignments.

LIMITATION OF LIABILITY AND INDEMNIFICATION

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability under this Handbook shall be limited to the amount of fees paid to Service Provider for the Services giving rise to the claim in the twelve months preceding the claim. Each party agrees to indemnify, defend and hold harmless the other party from claims arising from the indemnifying party's breach of its representations, negligence, or willful misconduct.

Each party shall comply with all applicable laws, regulations and industry standards in performing its obligations under this Handbook, including but not limited to data protection, employment, tax and export control requirements.

NOTICES

GOVERNING LAW; DISPUTE RESOLUTION

This Handbook shall be governed by the laws of the State of without regard to its conflict of law principles. The parties shall attempt to resolve disputes promptly through good faith negotiation. If unresolved, disputes shall be submitted to arbitration or litigation as mutually agreed.

ENTIRE AGREEMENT

This Handbook, including exhibits and any executed change orders, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, proposals, or agreements, whether written or oral. No amendment is effective unless in writing and signed by authorized representatives of both parties.
