Recitals

WHEREAS, the Service Provider is engaged in the business of providing professional services and has represented that it has the personnel, experience and capacity to provide the services described herein to Client:

WHEREAS, the Client desires to obtain the services specified in this Quote and the Service Provider desires to provide such services subject to the terms and conditions set forth in this document.

WHEREAS, the parties intend for this Quote to set out the scope, fees, schedule and material terms upon which the Service Provider will perform services for the Client.

Scope of Work

Itemized Services and Fees

The following items constitute the work components and fees for the services quoted. Amounts are exclusive of applicable taxes unless otherwise noted.

Payment Terms

Client shall pay the Service Provider the Total Quote Amount as set forth above in accordance with the following schedule and conditions.

All undisputed invoices shall be due and payable in accordance with the Payment Schedule. If Client fails to pay any undisputed amount when due, Service Provider may suspend performance after providing written notice in accordance with the Termination provision below.

Term and Termination

This Quote is effective as of the start date below and will continue until completion of the services or the end date below, unless earlier terminated pursuant to this section.

Either party may terminate this Quote for material breach by the other party if the breach remains uncured for the notice period specified above following written notice. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party agrees that all non-public business, technical, and financial information disclosed by one party to the other in connection with the services (Confidential Information) shall remain confidential and shall not be used or disclosed except as necessary to perform obligations under this Quote or as required by law. Confidential Information does not include information that is or becomes publicly available other than through a breach of this obligation.

Governing Law

This Quote and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the jurisdiction chosen by the parties below without regard to conflict of law principles.

Entire Agreement

This Quote, together with any attachments or mutually executed statements of work, contains the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and representations, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Acceptance

Acceptance of this Quote by Client is effective when an authorized representative of Client signs below and returns a copy to the Service Provider or when Client otherwise provides written acceptance in a manner agreed by the parties. Upon acceptance, the terms of this Quote shall be binding.
