Recitals

WHEREAS, Service Provider is engaged in the business of providing the services set forth in this Schedule and represents that it has the skill, personnel and resources necessary to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform the services described in this Schedule pursuant to the terms of the Master Agreement referenced above, and Service Provider agrees to provide such services under the terms set forth below;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and in the Master Agreement, the parties agree that this Business Service Schedule is made a part of the Master Agreement and that the terms below shall govern the performance of the services described herein.

Invoices shall be submitted to Client and are payable within days of receipt. Late payments shall incur interest at the lesser of % per month or the maximum permitted by law, computed from the invoice due date until paid in full.

This Schedule shall commence on the Effective Date and continue in full force until the Term End Date unless earlier terminated in accordance with this section. Either party may terminate this Schedule for convenience upon providing the other party with not less than days' prior written notice. Either party may terminate immediately for material breach if such breach remains uncured for thirty (30) days following written notice of the breach.

Confidentiality

Each party ("Receiving Party") shall hold in strict confidence all Confidential Information disclosed by the other party ("Disclosing Party") and shall not disclose or use such Confidential Information except as necessary to perform its obligations under this Schedule. "Confidential Information" includes business and technical information, pricing, customer lists, proposals and work product. Confidential Information does not include information that is: (a) publicly known through no breach of this Schedule; (b) rightfully received from a third party without restriction; or (c) independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Obligations of confidentiality shall survive termination of this Schedule for a period of .

Change Orders

Any change to the Scope of Work, price, schedule or deliverables shall be made only by written change order signed by authorized representatives of both parties. Change orders shall describe the change, the impact on fees and schedule, and any other relevant terms.

Liability and Insurance

Except as expressly provided in the Master Agreement, the aggregate liability of each party for claims arising under this Schedule shall be limited to direct damages not to exceed the total fees paid or payable under this Schedule in the twelve (12) month period preceding the event giving rise to the claim. Neither party shall be liable for incidental, consequential, special or punitive damages. Service Provider shall maintain insurance customary for its industry and shall provide certificates upon reasonable request.

Governing Law

This Schedule shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Schedule, together with the Master Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification of this Schedule shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Schedule is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Schedule without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
