WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to perform the services in accordance with the terms of this Specification and the underlying services agreement between the parties; and

WHEREAS, the parties intend for this Specification to describe scope, deliverables, payment schedule, acceptance criteria and ancillary terms that govern the provision of the Services.

Term and Termination

Term: This Specification commences on the Effective Date and continues until the Term End Date, unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Specification for convenience upon providing written notice to the other party no fewer than days prior to the effective termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Specification and fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party acknowledges that during the performance of this Specification it may receive Confidential Information of the other party. "Confidential Information" means non-public information designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Confidentiality Obligations: The receiving party shall (a) use the Confidential Information only for the performance of its obligations under this Specification, (b) restrict access to Confidential Information to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (c) not disclose Confidential Information to any third party except as required by law or with the prior written consent of the disclosing party.

Duration: Confidentiality obligations under this Specification shall survive termination for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Liability, Insurance and Indemnity

Liability Cap: Except for each party's obligations with respect to confidentiality, willful misconduct, or breaches of intellectual property rights, the aggregate liability of each party arising out of or relating to this Specification shall be limited to the fees paid to Service Provider under this Specification in the twelve (12) months preceding the claim.

This Specification shall be governed by and construed in accordance with the laws of:

Dispute Resolution: The parties agree to meet and negotiate in good faith to resolve any dispute arising out of or relating to this Specification before initiating formal legal proceedings. Remedies at law shall be available to either party where equitable relief is warranted.

Entire Agreement

This Specification, together with any referenced statements of work, attachments and the parties' underlying services agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

Assignment: Neither party may assign its rights or obligations under this Specification without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.

Relationship of the Parties: The parties are independent contractors. Nothing in this Specification creates a partnership, joint venture, employment relationship, or agency.
