BUSINESS SERVICE TEMP CONTRACT

This Business Service Temp Contract (the Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires temporary professional services for business operations on the terms set forth herein; and

WHEREAS, Service Provider represents that it has the experience, personnel, and capacity to perform the services described in this Agreement; and

WHEREAS, the parties desire that the relationship be non-exclusive and that the services be provided for a defined temporary term pursuant to the terms below.

SCOPE OF WORK

Service Provider shall perform the services described below. The services shall be performed in a professional manner consistent with industry standards and in accordance with any agreed schedules.

PAYMENT TERMS

Compensation for the services shall be as follows. Client shall pay Service Provider only for work expressly authorized in writing and completed in accordance with this Agreement.

Invoices shall be submitted to Client in accordance with the payment schedule. Unless otherwise agreed in writing, Client shall pay undisputed invoices within days of receipt.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of (a) per month, or (b) the maximum rate permitted by law. In addition, Client shall reimburse Service Provider for reasonable collection costs.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination.

Either party may terminate immediately for cause if the other party materially breaches a material term of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial information, proprietary methods, client lists, and deliverables.

Receiving Party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except to its employees, contractors, or agents who have a legitimate need to know and are bound by confidentiality obligations at least as protective as those herein, and (c) use Confidential Information solely to perform obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available through no fault of Receiving Party, or is lawfully disclosed to Receiving Party by a third party without restriction.

Upon termination or expiration of this Agreement, Receiving Party shall return or destroy, at Disclosing Party's option, all Confidential Information and certify such return or destruction upon request.

INDEPENDENT CONTRACTOR; TAXES

Service Provider is an independent contractor and not an employee, partner, or agent of Client. Service Provider shall be solely responsible for all taxes, insurance, and other statutory obligations related to payments received under this Agreement. Neither party shall hold itself out as having authority to bind the other.

LIMITATION OF LIABILITY

Except for breaches of confidentiality or willful misconduct, in no event shall either party be liable for consequential, incidental, special or punitive damages. Each party's aggregate liability for claims arising out of or relating to this Agreement shall not exceed the amounts actually paid by Client to Service Provider under this Agreement during the three (3) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located within that State for any dispute arising out of this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments and written statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement will remain in full force and effect. The parties acknowledge that monetary damages may be an insufficient remedy for breach of the confidentiality obligations and agree that injunctive relief may be granted in addition to any other remedies available at law or in equity.
