What the Business Services ACTIV Agreement Is

The Business Services ACTIV Agreement is a standardized contract used by companies and service providers to define the scope, deliverables, pricing, timelines, and responsibilities for business services. It organizes roles, payment terms, performance metrics, confidentiality provisions, intellectual property assignments, and termination rights into a single document intended for commercial engagements. The template is suitable for project-based work, retainer arrangements, and recurring services. It can be executed on paper or electronically where permitted by federal and state law, subject to exceptions such as certain court filings and testamentary instruments.

Why a Clear ACTIV Agreement Matters

Using a Business Services ACTIV Agreement clarifies expectations, reduces disputes, and establishes measurable obligations and remedies. A well-drafted agreement protects both parties, sets payment and delivery terms, and supports enforceability whether signed electronically under ESIGN/UETA or in paper form where permitted.

Why a Clear ACTIV Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users include procurement, legal, operations, and external service providers who manage commercial service engagements.

  • In-house legal teams and general counsel negotiating terms and risk allocation.
  • Procurement and sourcing groups managing vendor selection and purchase orders.
  • Small business owners and independent consultants formalizing scope, billing, and IP ownership.

The agreement suits organizations of varying sizes and industries seeking clearer service terms and reduced administrative friction for contract execution.

Core Clauses to Include in the ACTIV Agreement

A Business Services ACTIV Agreement typically contains clauses that allocate risk, define deliverables, set payment terms, and specify ownership, confidentiality, and termination mechanics.

Scope of Work

Describe services in measurable terms, deliverables, acceptance criteria, milestones, and any excluded services. Precise scope reduces disputes and supports objective invoice approval.

Payment Terms

State fees, billing schedule, late payment interest, expense reimbursement, and invoicing procedures. Include currency, taxes, and conditions for withholding or retainage to avoid collection disputes.

Term & Termination

Specify effective date, contract length, renewal terms, notice periods, termination for cause or convenience, and post-termination obligations such as transition assistance.

Confidentiality

Define confidential information, permitted disclosures, duration of obligations, and remedies for breach. Address residuals and return or destruction of materials on termination.

Intellectual Property

Allocate ownership of work product, grant licenses where appropriate, address pre-existing IP, and include assignment language for contractor-created materials.

Liability & Indemnity

Set liability caps, exclusions for consequential damages, indemnification obligations, insurance minimums, and procedures for defense and settlement of third-party claims.

Essential Data Elements to Collect

Addresses: Street, city, state, and ZIP.

  • Authentication: Email, SMS, SSO, and optional KBA.

Key Dates and Notice Periods to Track

Key timelines and deadlines in the Business Services ACTIV Agreement determine payment, acceptance, renewal, and termination obligations for both parties.

Effective Date:

Date when obligations and service delivery begin.

Milestone Deadlines:

Deliverable-specific dates tied to acceptance and payment triggers.

Payment Due Dates:

Net terms (e.g., Net 30) and late fee calculation start.

Renewal Notice:

Automatic renewal periods and required notice to opt out.

Termination Notice:

Days' notice required for convenience or for-cause termination.

Common Preparation Mistakes to Avoid

  • Using vague scope descriptions like 'work as needed' that leave deliverables and acceptance criteria undefined and increase dispute risk, delay payments, and complicate contract enforcement.
  • Failing to identify authorized signers or obtain board resolutions when required, which can render signatures unenforceable and lead to payment holds or litigation.
  • Not specifying payment mechanisms, tax treatment, or backup withholding procedures; errors here can trigger IRS withholding, late fees, or rejected invoices.
  • Omitting confidentiality or IP assignment language for bespoke work, leaving ownership ambiguous and increasing the chance of post-termination disputes over developed assets.

Immediate Risks and Penalties of Errors

Late Payment: Interest, collection costs.
Tax Reporting: Backup withholding, IRS penalties.
Invalid Signature: Contract may be void.
Noncompliance Fines: Regulatory penalties possible.
IP Disputes: Loss of ownership rights.
I-9 Violations: Civil fines for paperwork.
