Business Services Addendum

This Business Services Addendum ("Addendum") is entered into effective as of by and between the parties identified below and supplements the existing services agreement referenced herein.

Recitals

WHEREAS, the parties entered into a Services Agreement (the "Agreement") governing certain business services pursuant to which the Service Provider provides services to the Client;

WHEREAS, the parties desire to modify the scope, payment terms and certain other provisions of the Agreement as set forth in this Addendum; and

WHEREAS, except as expressly modified herein, the Agreement remains in full force and effect and this Addendum shall be governed by and construed in accordance with the terms of the Agreement and applicable law.

Scope of Work

Payment Terms

Total Fee: $ payable in accordance with the schedule below. Unless otherwise specified, amounts are payable in United States dollars.

Late payment: If any amount due under this Addendum is not received by the Service Provider within days after the due date, the Client shall pay a late fee equal to plus any collection costs, and interest shall accrue at the lesser of the legal maximum or .

Term and Termination

Term: This Addendum commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Termination for cause: Either party may terminate this Addendum upon written notice to the other if the other party materially breaches any obligation hereunder and fails to cure such breach within days after receipt of written notice.

Termination for convenience: The Client may terminate this Addendum for convenience upon providing days' prior written notice to the Service Provider. In the event of termination, the Service Provider shall be entitled to payment for services performed and non-cancelable obligations incurred through the effective date of termination.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by one party to the other in connection with this Addendum, whether written, oral or electronic, including business plans, pricing, customer information, technical data, trade secrets and proprietary materials.

Obligations: The receiving party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Addendum; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors having a need to know and who are bound by confidentiality obligations no less restrictive than those in this Addendum.

Exclusions and remedies: Confidential Information does not include information that is or becomes publicly available other than by breach of this Addendum, is rightfully received from a third party without restriction, or is independently developed. The parties acknowledge that breach of this provision may cause irreparable harm for which monetary damages may be inadequate and agree that injunctive relief shall be available in addition to other remedies.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Addendum.

Miscellaneous

Entire Agreement: This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. Except as expressly modified herein, all terms and conditions of the Agreement remain in full force and effect.

Amendments: Any amendment or modification to this Addendum must be in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign its rights or delegate its obligations under this Addendum without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.

Acknowledgments

Each party represents and warrants that it has the full right, power and authority to enter into this Addendum and to perform its obligations hereunder, and that the person executing this Addendum on its behalf is duly authorized to do so.
