Business Services AFS

Parties

This Business Services Agreement (the Agreement) is entered into between:

Recitals

WHEREAS, Service Provider is engaged in providing business services related to accounting, filing support, and financial systems (collectively, the Services); and

WHEREAS, Client desires to engage Service Provider to perform the Services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement govern their respective rights and obligations with respect to the scope, fees, confidentiality, term and termination of the engagement.

Scope of Work

The Service Provider shall perform the following services for the Client. The description below is intended to be specific but may be amended by written change order signed by both parties.

Payment Terms

In consideration for the Services, Client shall pay Service Provider in accordance with the following terms.

All fees are exclusive of applicable taxes. Client shall reimburse Service Provider for reasonable out-of-pocket expenses pre-approved in writing by Client. If Client disputes any invoice in good faith, Client shall notify Service Provider within ten (10) days and pay any undisputed portion.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured thirty (30) days after written notice specifying the breach. Termination does not relieve Client of its obligation to pay for Services rendered and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public business, financial, technical or other information disclosed by one party to the other marked or identified as confidential or that reasonably should be understood to be confidential. The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to employees and agents with a need to know who are bound by written obligations of confidentiality at least as protective as those herein, and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include information that is or becomes publicly available other than by breach of this Agreement, properly received from a third party without restriction, or independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that state for any dispute arising under this Agreement.

Entire Agreement; Amendments

This Agreement, including any schedules and written change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Limitation of Liability

Except for damages arising from a party's gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and the aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the amounts actually paid by Client to Service Provider under this Agreement in the six (6) months preceding the event giving rise to the claim.

Notices

Notices shall be in writing and delivered by hand, certified mail, or nationally recognized overnight courier to the addresses set forth above (or to such other address as a party may designate by notice).

Miscellaneous

Neither party may assign this Agreement without the other party's prior written consent, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Headings are for convenience only and do not affect interpretation.
