What the Business Services Agreement and Authorization Is

A Business Services Agreement and Authorization is a contractual document that sets out the scope of services a vendor will perform, the authorization granted to act on behalf of a client, payment terms, and the parties' responsibilities. It establishes deliverables, timelines, performance standards, confidentiality and data access rules, and termination rights. In the U.S. this agreement is commonly executed between corporations, small businesses, independent contractors, or service providers and may be signed electronically where permitted under ESIGN (15 U.S.C. ch. 96) and state UETA statutes.

Why this Agreement Matters for Operations and Compliance

Defines responsibilities, reduces disputes, and documents the client's authorization for services and data access.

Why this Agreement Matters for Operations and Compliance

Who Typically Prepares and Signs These Agreements

Signature authority usually rests with authorized officers, procurement designees, or designated account administrators; confirm internal signing policies before execution.

  • Procurement teams and contract managers in mid-size and large organizations who manage vendor relationships and compliance.
  • Finance teams responsible for payment terms, invoicing, and authorization to charge accounts or release funds.
  • Small business owners or independent contractors who both provide and receive services and need clear authorization language.

Common Signatory Roles

Procurement Manager

Responsible for negotiating service scope, pricing, and compliance clauses; typically authorized to sign or recommend execution to finance or legal departments.

Service Provider Owner

Business owner or delegated officer who confirms service deliverables, accepts payment terms, and signs the authorization to begin work.
