Late Payment: Interest and collection costs
Tax Reporting Errors: IRC §6721 penalties
HIPAA Violations: Civil penalties and corrective action
Wrong Effective Date: Alters limitation periods
Missing Notary: Impacts record admissibility

Practical tips for accurate completion and efficient processing

Adopt consistent internal controls and template conventions to reduce negotiation time and ensure enforceability.

Use a single authoritative template
Maintain a centrally controlled template that includes required legal clauses, versioning, and controlled fields to prevent inconsistent language across engagements and speed review cycles.
Verify signer authority before sending
Confirm that the designated signer has the power to bind the party by checking corporate resolutions or procurement delegations to avoid later challenges to enforceability.
Document changes in redline
Track and retain a redline or version history of edits during negotiation so the final signed text is clearly traceable and prior drafts are available for audit.
Standardize exhibits and schedules
Attach mutually agreed exhibits (SOW, pricing, SLAs) and reference them by exhibit number in the main body to reduce ambiguity and simplify future amendments.
