What the Business Services Agreement for Appier IO Is

The Business Services Agreement for Appier IO is a written contract that defines the relationship between Appier IO and a vendor or service provider delivering marketing, analytics, or technical services. It establishes scope of work, deliverables, payment terms, intellectual property ownership, data handling requirements, confidentiality obligations, indemnities, and termination rights. The agreement provides a foundation for performance expectations and dispute resolution while documenting any regulatory or industry-specific protections required for handling customer or personal data.

Why a Clear Services Agreement Matters

A focused Business Services Agreement reduces ambiguity about responsibilities, preserves intellectual property rights, and sets payment and termination mechanics. It also documents data protection and deliverable acceptance criteria to reduce disputes and support compliance with sector rules such as HIPAA or consumer privacy laws when applicable.

Why a Clear Services Agreement Matters

Who Typically Completes This Agreement

Signatory parties should ensure authorized representatives sign on behalf of each legal entity and that procurement or legal retain a countersigned copy for records.

  • Procurement and vendor managers responsible for contracting and vendor onboarding.
  • In-house legal or outside counsel reviewing IP, liability, and compliance clauses.
  • Project managers and technical leads who confirm scope, milestones, and acceptance criteria.

Primary Signatories and Their Roles

Appier IO Representative

Typically a director or authorized officer in procurement, operations, or legal who can bind Appier IO to commercial and data-related obligations. Their role is to approve scope, budgets, and data-sharing permissions while ensuring internal compliance.

Service Provider

A vendor’s authorized officer, often CEO or VP of Operations, who confirms capacity to perform services, accepts payment terms, grants necessary IP licenses, and certifies compliance with any privacy or security requirements in the agreement.

Core Components to Include in the Agreement

A professional Business Services Agreement should be concise but comprehensive, covering scope, payment, timelines, data protection, IP rights, and termination procedures to reduce future disputes and support enforceability.

Scope of Work

Define specific services, deliverables, milestones, acceptance criteria, and any change-order process so both parties have measurable expectations and a clear method to approve or revise work.

Compensation

Specify pricing model, billing frequency, expenses, invoicing procedures, and late-payment remedies, including whether taxes or withholding apply and how disputed invoices are handled.

Term and Termination

State the agreement start and end dates, renewal mechanics, termination for convenience or cause, notice periods, and obligations on termination such as transition assistance and final payments.

Intellectual Property

Address ownership of preexisting materials, work product ownership, license grants, transfer of rights, and any moral rights waiver necessary for delivering software or creative outputs.

Data Protection

Include data processing terms, security controls, breach notification timelines, cross-border transfer rules, and any required addenda such as a HIPAA Business Associate Agreement where applicable.

Liability and Indemnity

Cap liabilities appropriately, state exclusions for indirect damages, define indemnity triggers, and allocate responsibility for third-party claims arising from breach or IP infringement.

Step-by-Step: Completing the Agreement

Follow a predictable sequence to reduce rework: draft, review, negotiate, sign, and store the executed agreement in your contract repository.

  • 01
Draft: Populate parties, scope, and fees; attach exhibits and SOWs.
  • 02
Internal Review: Legal, procurement, and technical teams verify terms and compliance.
  • 03
Counterparty Review: Share draft, negotiate key clauses, and track redlines.
  • 04
Execution: Obtain authorized signatures and capture audit trail for records.

How to Configure an Online Signing Workflow

Set up a repeatable workflow: prepare templates, assign roles, select authentication, and enable notifications for each execution cycle.

Field Configuration
Templates & Libraries Create reusable agreement templates to reduce drafting errors and speed execution.
Conditional Fields Use conditional logic to show or hide clauses based on selected options.
Signer Authentication Choose email, SMS code, or advanced authentication per document sensitivity.
Integration & Notifications Connect to CRM or document storage and enable automated status alerts.

Where to Send and How Routing Works

Define final destinations and routing order so the executed agreement is delivered to the right teams and stored in the correct repository.

  • Upload Document: Add the agreement PDF or DOCX to the signing workspace.
  • Assign Signers: Specify emails and signing order or allow parallel signing.
  • Select Authentication: Choose email link, SMS, or KBA as required.
  • Archive: Send executed copy to contract repository and stakeholders.

Technical and Security Considerations for eSigning

Select a platform that meets your compliance needs (encryption, audit trails, and optional BAA for HIPAA) and integrates with your document storage and CRM systems.

  • Supported Formats: PDF and DOCX are standard for signed records.
  • Authentication Options: Email, SMS, KBA, or SSO support are commonly available.
  • Audit Trail: Look for timestamp, IP, and action logs.

Typical Timelines and Processing Expectations

Set internal SLAs for review, signature, and archiving to manage expectations and vendor onboarding speed.

Drafting Turnaround:

Allow 2–5 business days for a reviewed draft for standard engagements.

Counterparty Review:

Expect 3–10 business days depending on negotiation complexity.

Signature Window:

Designate 7–14 calendar days for signers to complete execution.

Post-Sign Processing:

Archive and notify stakeholders within 1–3 business days after execution.

Onboarding Start:

Operational work commonly begins after executed agreement and initial payment or SOW approval.

Key Milestones from Draft to Effective Date

Common Mistakes to Avoid

  • Leaving scope language vague, which leads to disputes over deliverables and acceptance criteria.
  • Failing to verify signatory authority; unsigned or unauthorized signatures can render the agreement unenforceable.
  • Omitting data protection clauses when personal or health data will be processed, risking regulatory exposure.
  • Using inconsistent party names or addresses across exhibits, purchase orders, and the main agreement.

Potential Consequences of an Incorrect Agreement

Unenforceability: Contract may be voided
Financial Loss: Damages or unpaid invoices
Regulatory Penalty: Fines for privacy breaches
Tax Withholding: Backup withholding risk
Operational Delay: Onboarding or payment hold
Reputational Harm: Supplier relationship damage

Tax Identifiers: TIN or EIN
Payment Terms: Fees, schedule
Data Handling: Security and breach plan

Supporting Documents and Export Options

Keep all related exhibits, SOWs, and certifications attached and export executed records in standard formats to support audit and recordkeeping requirements.

Export Formats

Save executed agreements as PDF/A and PDF for long-term archival, and retain original DOCX for editable records where permitted.

Signed Copies

Provide each party a fully executed PDF with an embedded audit trail showing timestamps, signer attribution, and IP addresses where available.

Audit Trail

Retain the platform’s certificate of completion that documents signer authentication, signing sequence, and timestamps for evidentiary support.

Attachments

Include SOWs, invoices, security attestations, and BAAs as appendices to the main agreement to avoid ambiguity.
