Core clauses to include in a professional agreement

State the effective date, duration, renewal mechanics, and termination rights for convenience or cause. Include notice periods and obligations that survive termination, such as confidentiality and IP clauses.

Fees and Payment

Specify the fee structure (fixed, hourly, milestone), invoicing schedule, payment terms, late fees, and any retainers. Address expense reimbursement, taxes, and required documentation for invoices.

Confidentiality

Define confidential information, permitted disclosures, required safeguards, and the term of confidentiality. Consider data protection clauses if personal health or financial data is involved.

Liability and Indemnity

Limit direct damages where appropriate, set indemnification scope for third-party claims, and address insurance requirements such as general liability and professional liability.
