Tips for Accurate, Efficient Completion

Use a Standardized Template
Maintain an approved template with mandatory fields and prefilled clauses. Templates reduce drafting variance, speed review cycles, and lower the chance of omitted exhibits or inconsistent payment terms during high-volume processing.
Validate Signer Authority
Confirm corporate authorization and capture titles and dates. Store evidence of board resolutions or delegated authority when necessary to strengthen enforceability and avoid later challenges to signatory power.
Enable Proper Authentication
Choose signer authentication appropriate to transaction risk — email links for low risk; SMS codes or advanced authentication for higher-value deals. Stronger auth reduces repudiation risk in disputes.
Preserve the Audit Trail
Keep an immutable audit log showing timestamps, IP addresses, and signer actions. The audit trail supports admissibility and demonstrates intent, consent, attribution, and retention under ESIGN.
