A Business Services Agreement for Jack in the Box is a contract between Jack in the Box (the client) and an external service provider that defines the scope, deliverables, schedule, payment terms, compliance obligations, confidentiality, insurance, and dispute-resolution process. It creates enforceable rights and duties tied to specified services such as facilities maintenance, IT support, marketing, or supply services and typically includes exhibits like statements of work, pricing schedules, and insurance certificates to avoid ambiguity during performance.

Why a clear, tailored agreement matters

A precise Business Services Agreement protects both parties by documenting scope, timelines, payment, and liability, reducing disputes and enabling consistent performance. When executed correctly, the agreement supports compliance with tax, employment, and safety rules and permits efficient electronic execution using compliant eSignature platforms.

  • External vendors (IT, cleaning, construction) onboarding as service providers under standardized terms.

Legal and compliance teams usually review final drafts before signatures to confirm risk allocation and regulatory requirements are addressed.

Indemnity Claims: Third-party liabilities
Contract Voidance: Wrong signatory
Insurance Gaps: Uncovered losses
Tax Issues: Withholding obligations
Regulatory Violations: Noncompliance fines

Practical tips for accurate and efficient completion

Apply consistent procedures and checks to reduce errors, speed approvals, and preserve enforceability across the organization.

Standardize templates and exhibits
Use vetted templates with modular exhibits (SOW, pricing, insurance) to speed negotiation. Ensure version control so every execution references the correct exhibit set and effective date.
Verify signatory authority and tax details
Confirm the signer is authorized to bind the legal entity and that the vendor's tax ID matches the W-9 to avoid payment or IRS reporting delays.
Attach required supporting documents
Collect COIs, W-9s, background checks, and permits before execution so onboarding and vendor setup proceed without last-minute stops.
Use secure eSignature with audit trail
Select an eSignature solution that provides tamper-evident signed PDFs, audit logs, and secure storage to support enforcement and post-execution reviews.
