Scope

A clear scope of work with measurable deliverables, milestones, and acceptance criteria prevents scope creep and forms the baseline for payment and performance obligations.

Compensation

Describe fees, payment schedule, invoicing requirements, late payment remedies, and reimbursement policy so parties know when and how payments will occur.

IP and Ownership

Confidentiality

Include confidentiality obligations, duration, permitted disclosures, and remedies for breach for protection of trade secrets and business information.

Liability and Indemnity

Limitations on liability, exclusions for consequential damages, and mutual indemnities should be balanced and tied to insurance coverage where appropriate.

Termination

Common preparation pitfalls to avoid

  • Leaving scope language vague, which often causes disputes over deliverables and additional charges.
  • Using inconsistent party names or abbreviations that do not match corporate registration or tax documents.
