Practical tips for accurate and efficient completion

Follow these practices to reduce rework, avoid rejection by counterparties, and improve enforceability.

Use Consistent Party Identifiers
Always use the party's exact legal name and entity type (for example, 'Jose Garcia, sole proprietor' or 'Jose Garcia LLC') so the agreement aligns with tax and corporate records and prevents ambiguity about who is obligated.
Confirm Authorized Signers
Verify the signer has authority—company bylaws, resolution, or power of attorney as needed—because signatures by unauthorized individuals can render the agreement voidable or unenforceable.
Document Consent for Electronic Records
For consumer-facing transactions, include the ESIGN consumer disclosure and obtain the party's affirmative consent to transact electronically to satisfy 15 U.S.C. §7001 requirements.
Attach Exhibits and Schedules
Include referenced exhibits, detailed statements of work, and pricing schedules as attachments and label them clearly to avoid later disputes about scope or deliverables.
