Practical Tips for Accurate and Efficient Completion

Practical tips to ensure the Business Services Agreement for Susan Bowen is accurate, enforceable, and easy to administer.

Clear Deliverables
Define deliverables and acceptance criteria in measurable terms. Include sample formats, test procedures, and sign-off steps. Attach a statement of work with timelines and responsibilities to prevent disputes over whether work meets contractual standards.
Use Version Control
Assign unique document identifiers and version dates for each draft. Track changes, retain prior signed versions, and log approvals to avoid confusion about which contract governs ongoing work.
Limit Ambiguity
Avoid vague terms like 'reasonable efforts' without definition. Where judgment is needed, provide examples or objective metrics, and include escalation and mediation clauses for subjective disputes.
Document Authority
Obtain corporate resolution or written evidence that signers have authority to bind their entities. Record titles, signatory authority, and attach authorization documents when relevant.

Common Preparation Errors to Avoid

  • Using ambiguous scope language that fails to define deliverables, leading to disputes over hours, deliverables, and acceptable quality; specify measurable acceptance criteria.
  • Failing to list payment milestones clearly, causing late payments or invoice disputes; include amounts, due dates, late fees, and payment method.
  • Omitting IP assignment or licensing terms when services include deliverables, which can leave ownership unclear and require costly litigation to resolve.
  • Not specifying termination rights and notice periods, resulting in abrupt service interruptions or unclear refund and transition obligations.

Penalties and Legal Risks to Watch For

Invalid Signature Risk: Certain documents excluded from ESIGN
Incorrect Names: Mismatched names can void enforcement
Late Filings: Tax penalties under IRC §6721
HIPAA Violations: Civil and criminal penalties possible
I-9 Noncompliance: Penalties $281–$2,789 per violation
Intentional Misrepresentation: Higher penalties and potential treble damages

Security and Compliance Features to Note

Encryption in Transit: TLS 1.2 and 1.3 used
