BUSINESS SERVICES AGREEMENT — VIVACITY TECH

This Business Services Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider: Vivacity Tech, a corporation with principal place of business at .

RECITALS

WHEREAS, Vivacity Tech has experience and expertise in providing technology, development, and business services described below; and

WHEREAS, Client desires to engage Vivacity Tech to perform certain services on the terms and conditions set forth in this Agreement, and Vivacity Tech agrees to provide such services; and

WHEREAS, the parties wish to set forth the terms governing the services, payment, confidentiality, and termination rights.

1. SCOPE OF WORK

1.1 Services. Vivacity Tech will perform the services described in Exhibit A (Scope of Work) to this Agreement in a professional and workmanlike manner consistent with industry standards.

2. PAYMENT TERMS

2.1 Fees. Client shall pay Vivacity Tech the fees set forth below for the Services. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

2.2 Late Payment. Any amount not paid within the agreed payment period shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus all reasonable costs of collection, including attorneys' fees.

3. TERM AND TERMINATION

3.1 Term. The term of this Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

3.2 Termination for Cause. Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within Notice Period: days after written notice specifying the breach.

3.3 Effect of Termination. Upon termination, Client will pay Vivacity Tech for all Services performed and reasonable expenses incurred through the effective date of termination. Sections concerning Confidentiality, Indemnification, Governing Law, and Payment shall survive termination.

4. CONFIDENTIALITY

4.1 Definition. "Confidential Information" means non-public information disclosed by a party relating to business, technology, software, pricing, customers, or other proprietary matters, whether disclosed orally, in writing, or by inspection.

4.2 Obligations. Receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors or advisors with a need to know and who are bound to confidentiality obligations no less protective than those herein; and (c) protect Confidential Information with at least the same degree of care it uses for its own confidential information, but no less than reasonable care.

4.3 Exceptions. Confidential Information does not include information that is (a) known prior to disclosure without obligation of confidentiality; (b) becomes publicly available other than by breach; or (c) lawfully received from a third party without obligation of confidentiality.

4.4 Remedies. The parties agree that breach of this Section would cause irreparable harm for which monetary damages may be inadequate and that injunctive relief shall be an appropriate remedy in addition to other remedies.

5. REPRESENTATIONS, WARRANTIES AND INDEMNITY

5.1 Each party represents that it has the full right and authority to enter into this Agreement. Vivacity Tech represents that the Services will be performed in a professional manner consistent with applicable industry standards.

5.2 Indemnity. Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct, except to the extent caused by the indemnitee's gross negligence or willful misconduct.

7. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties agree that exclusive venue for any dispute shall be in the state or federal courts located in that State unless the parties mutually agree otherwise in writing.

8. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all attached exhibits and statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

9. MISCELLANEOUS

9.1 Independent Contractor. Vivacity Tech is an independent contractor and not an employee, agent, joint venturer, or partner of Client.

9.2 Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that Vivacity Tech may assign to an affiliate or in connection with a sale of substantially all of its business or assets.

9.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
