What the Business Services Agreement for Zoetis Covers

The Business Services Agreement for Zoetis is a written contract that defines the relationship between Zoetis and a service provider, including scope of services, deliverables, payment terms, data handling, confidentiality, intellectual property allocation, compliance obligations, limits of liability, and termination mechanics. It documents performance standards and acceptance criteria, allocates risk between parties, and creates enforceable rights and remedies. Where applicable, it identifies whether protected health information is exchanged and whether a HIPAA business associate agreement or similar addendum is required for lawful handling of sensitive data.

Why a Clear Agreement Matters for Zoetis Engagements

A well-drafted Business Services Agreement reduces ambiguity about responsibilities, protects confidential information, clarifies payment and deliverable timelines, and establishes compliance requirements such as data protection and record retention. It also documents change control and termination rights to limit downstream disputes and regulatory exposure.
