BUSINESS SERVICES AGREEMENT — PINE CREST, OR

This Business Services Agreement (the Agreement) is entered into effective as of (Effective Date), by and between , a service provider with principal place of business at (Service Provider), and , located at (Client).

RECITALS

WHEREAS, Service Provider possesses experience, expertise and personnel necessary to perform the business services described below; and

WHEREAS, Client desires to engage Service Provider to perform such services in Pine Crest, Oregon, and Service Provider agrees to provide such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties desire to set forth their respective duties, payment obligations, confidentiality obligations and other terms governing the relationship.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Service Provider a fee of US dollars for the services described in this Agreement, subject to the schedule below.

Invoices shall be issued by Service Provider in accordance with the payment schedule. Unless otherwise agreed in writing, undisputed amounts are due within days of invoice date. Late payments shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by law. Client shall also be responsible for all reasonable collection costs and attorneys’ fees incurred by Service Provider in the recovery of overdue amounts.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days’ prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach is not cured within fifteen (15) days after written notice.

Upon termination, Client shall pay Service Provider for all services rendered and reasonable out-of-pocket costs incurred through the effective date of termination. Sections pertaining to Confidentiality, Indemnification, Limitation of Liability and Governing Law shall survive termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to business plans, financial data, customer lists, pricing, technical information, trade secrets and proprietary processes.

Obligations: Receiving Party shall (a) use Confidential Information solely for the performance of this Agreement; (b) restrict disclosure of Confidential Information to employees, contractors or agents who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that is (i) publicly available through no fault of Receiving Party; (ii) rightfully obtained from a third party without restriction; (iii) independently developed by Receiving Party without use of the Disclosing Party’s Confidential Information; or (iv) required to be disclosed by law, provided Receiving Party gives prompt written notice and cooperates with Disclosing Party to seek protective measures.

Duration: Confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY

Ownership: Unless otherwise agreed in writing, Service Provider retains ownership of all pre-existing intellectual property and tools used in the performance of services. To the extent Service Provider creates new deliverables specifically for Client under this Agreement, upon full payment Client shall receive a non-exclusive, non-transferable license to use such deliverables for its internal business purposes.

INDEMNIFICATION; LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify and hold harmless the other party from and against third-party claims arising from its gross negligence, willful misconduct or material breach of this Agreement, provided the indemnified party gives prompt written notice and reasonable co-operation in defense.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, breach of confidentiality or infringement of intellectual property, neither party shall be liable to the other for indirect, incidental, consequential or punitive damages. Each party’s aggregate liability for direct damages shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to conflict of law principles.

Disputes: The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement by negotiation. If negotiations fail, the parties may pursue any remedies available under Oregon law in the state or federal courts located in the State of Oregon.

MISCELLANEOUS

Relationship of Parties: Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create an employment, partnership, agency or joint venture relationship between the parties.

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Service Provider may assign this Agreement to an affiliate or in connection with the sale of all or substantially all of its assets.

Notices: All notices shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices are effective upon personal delivery, one business day after delivery to a nationally recognized overnight carrier, or three business days after deposit in the U.S. mail, postage prepaid.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be interpreted or reformed to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.
