Practical tips for drafting and executing the agreement

Use defined terms consistently
Define party names, deliverable descriptions, and payment terms once and reuse them throughout the document. Inconsistencies create interpretation disputes and raise execution risk.
Specify acceptance criteria
Include objective, measurable acceptance steps or deliverable sign-offs to avoid later disputes about whether work meets the contract standard.
Limit open-ended liability
Use liability caps and exclude consequential damages where commercially appropriate to reduce exposure and make insurance procurement easier.
Confirm record retention
State how long signed copies will be retained, where they will be stored, and who is responsible for preservation to meet audit or regulatory needs.
