Parties and Effective Date

This Business Services Agreement (the "Agreement") is entered into as of (the "Effective Date"), by and between:

Recitals

WHEREAS, Service Provider is engaged in the business of providing business consulting, operational support, and marketing services and possesses the experience and personnel necessary to provide such services; and

WHEREAS, Client desires to retain Service Provider to perform certain services for Client, and Service Provider is willing to perform such services pursuant to the terms and conditions set forth in this Agreement.

Scope of Work

Service Provider shall perform the services described below for Client. The services shall be performed with commercially reasonable skill and in accordance with industry standards.

Payment Terms

In consideration for the services rendered by Service Provider, Client shall pay Service Provider as set forth below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

All invoices shall be rendered by Service Provider in accordance with the payment schedule. Client shall pay undisputed invoices within the timeframe stated in the invoice. If Client fails to pay any undisputed amount when due, Client shall pay interest at the rate set forth above and Service Provider may suspend performance after ten (10) days' written notice.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate this Agreement immediately for material breach by the other party that is not cured within thirty (30) days following receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and reimbursable expenses incurred through the effective date of termination. Sections concerning confidentiality, indemnification, limitation of liability and governing law shall survive termination.

Confidentiality

Each party (the "Receiving Party") shall maintain in confidence and not use or disclose any confidential information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. Confidential information does not include information that is publicly known through no fault of the Receiving Party, independently developed without reference to the Disclosing Party's confidential information, or rightfully received from a third party without restriction. The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Indemnification and Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in connection with the performance of this Agreement. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL EXCEED THE TOTAL AMOUNTS PAID TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Representations; Compliance

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Each party shall comply with all applicable laws, rules and regulations in the performance of its obligations under this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for any dispute arising out of or relating to this Agreement.

Entire Agreement; Amendment

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other.
