Common Preparation Mistakes to Avoid

  • Failing to confirm signer authority, which can render the agreement unenforceable or require re-execution.
  • Using inconsistent payment terms across exhibits, causing invoice rejection and delayed payment processing.
  • Not preserving the final executed PDF and audit trail together, which complicates audits and dispute resolution.

Practical Tips for Accurate and Efficient Completion

Adopt consistent templates and internal controls to minimize review cycles and ensure compliance.

Centralize Templates and Clauses
Maintain a single source of truth for approved terms and exhibits to reduce legal review time and ensure consistent obligations across engagements.
Define Approval Matrix
Document who can approve which contract value or scope; route higher-value agreements to legal and finance automatically to prevent unauthorized signings.
Use Conditional Fields
Apply conditional clauses for optional services so only relevant terms appear, reducing signer confusion and minimizing manual edits.
Archive with Metadata
Tag executed records with counterparty, start/end dates, and renewal windows so teams can find contracts quickly and comply with retention rules.
