Confidentiality

Define protected data, permitted disclosures, and obligations on return or destruction of confidential information after termination.

IP & Deliverables

SOC 2: SOC 2 Type II report available
21 CFR Part 11: Compliant controls for regulated data
Accessibility: WCAG 2.0 Level AA support

Key legal and financial risks to manage

Late Payment: Accrues interest and damages contractual relationship
Incorrect TIN: May trigger 24% backup withholding
Invalid Signature: Can render the agreement unenforceable
I-9 Noncompliance: $281–$2,789 per violation
Data Breach: Regulatory fines and remediation costs
Unclear Scope: Leads to disputes and costly change orders

Common preparation mistakes to avoid

  • Mismatched party names or signatory authority that invalidate the contract or delay execution while parties verify identity and authorization.
  • Vague scope descriptions that omit acceptance criteria, permitting unilateral assumptions about deliverables and increasing change-order disputes.
  • Missing or incorrect dates that affect effective date, payment scheduling, and statute of limitations calculations for claims.
  • Failing to attach exhibits or SOWs referenced in the body, which creates enforcement gaps and uncertainty about obligations.
