Key penalties and legal risks to avoid

Incorrect 1099 filing: $60–$330 per form (IRC §6721)
Intentional disregard: $660+ per form, no maximum (IRC §6721)
I‑9 paperwork violations: $281–$2,789 per violation (DHS guidance)
Backup withholding: 24% withholding for missing/incorrect TIN
Unauthorized signer: Risk of unenforceable contract and liability exposure
Improper PHI handling: HIPAA penalties and breach notification obligations

Common mistakes that cause delays or disputes

  • Missing or incomplete fields (legal name, effective date, payment terms) force redlines and delay execution by days or weeks.
  • Using an unauthorized signer or failing to verify signer authority can render the agreement unenforceable in disputes or audits.
  • Attaching inconsistent exhibits or failing to reference the correct exhibit number leads to scope ambiguity and performance disputes.
  • Skipping required addenda (BAA, insurance certificate) can create compliance gaps and increase financial or regulatory risk.

Practical tips for accurate and efficient completion

Adopt consistent templates, standard clauses, and a validation checklist to reduce review cycles and support predictable processing times.

Use standardized templates and clause library
Maintain a vetted template repository with preapproved language for scope, indemnity, and data protection to reduce legal review time and ensure consistent obligations across engagements.
Verify signer authority before routing
Confirm the signer’s delegated authority via corporate resolution or POA when large monetary commitments or long terms are involved to avoid later repudiation.
Attach required supporting documents
Include W‑9, insurance certificates, and any required permits or licenses with the initial package to prevent invoice holds and registration delays.
Capture an auditable signing trail
Use electronic signing workflows that record timestamps, IP addresses, and authentication events to support contract enforceability and retrospective audits.
