  • Failure to attach schedules, pricing tables, or dependencies creates billing disputes and complicates audits; include all referenced exhibits.
  • Using informal or unsigned amendments can create enforceability issues; require a written, signed modification clause specifying the required form of amendment.
  • Not confirming authorized signees and corporate authority leads to later ratification problems and possible contract rescission during enforcement.

Practical practices to reduce risk and speed execution

Practical guidelines help reduce negotiation time and legal risk when using the Business Services Brightloom template.

Use definitive, measurable SLAs and metrics
Define response times, resolution windows, measurable uptime percentages, and acceptance criteria. Tie payment milestones or credits to missed SLAs and include objective methods for measuring performance to avoid disputes over compliance and remedies.
Standardize data handling, security, and breach response
Specify encryption, access controls, incident notification timelines, and required certifications. If PHI is processed, include a signed BAA and detail record retention to meet HIPAA obligations and minimize regulatory exposure.
Confirm signer authority and execution method
Verify signers are authorized by corporate resolution or power of attorney. State whether e-signatures are acceptable and record the authentication method used, including audit logs, to support enforceability under ESIGN/UETA.
Version control and document management processes
Store executed copies as immutable PDFs with audit certificates, track versions centrally, and document any amendments with signed rider pages to avoid conflicting or superseded terms during disputes.
