BUSINESS SERVICES BSP

This Business Services BSP (the "Agreement") is entered into as of by and between:

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all Confidential Information disclosed by the other party (the "Disclosing Party"). Confidential Information shall include non-public business, technical and financial information disclosed in any form. The Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict access to Confidential Information to those employees or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) exercise reasonable care to prevent unauthorized disclosure.

The obligations set forth in this Section shall not apply to information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was rightfully known to the Receiving Party prior to disclosure by the Disclosing Party; (iii) is independently developed without use of or reference to Confidential Information; or (iv) is required to be disclosed by law or valid legal process, provided the Receiving Party provides prompt notice to the Disclosing Party to permit a protective order or other remedy.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider grants to Client a non-exclusive, worldwide, perpetual license to use Deliverables created under this Agreement for Client's internal business purposes. Service Provider represents that Deliverables will be original or properly licensed and will not infringe third-party rights. Any pre-existing intellectual property of a party remains the property of that party.

INDEPENDENT CONTRACTOR

Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture or agency. Service Provider is solely responsible for all taxes, withholdings and similar statutory obligations arising from payments received under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of its gross negligence, willful misconduct or material breach of its representations and warranties under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered in person, sent by certified mail, or sent by nationally recognized overnight courier to the address set forth in the Parties section or such other address as either party designates by notice to the other.
