What the Business Services BURG Agreement Is

Business Services BURG Agreement is a standardized contract used by companies that provide business support and administrative services under the BURG framework. The agreement defines each party's roles, scope of services, performance standards, fees, payment terms, confidentiality obligations, term and termination conditions, and dispute resolution procedures. It is designed to create clear expectations between a business services provider and a client, reduce ambiguity about deliverables, and establish legal remedies for breach. This template is suitable for recurring service engagements, statements of work, and project-based arrangements where documented terms are required.

Why a Clear BURG Agreement Matters

A Business Services BURG Agreement clarifies obligations, reduces disputes, and preserves billing and liability safeguards. It supports consistent service delivery, measurable performance, and clear payment terms while enabling managers and counsel to limit exposure through indemnity, insurance, and termination provisions.

Why a Clear BURG Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users include contracted vendors, client procurement teams, operations managers, legal counsel, and accounting staff responsible for billing and compliance.

  • Service providers drafting SOWs, deliverables, milestones, and fee structures for client engagements.
  • In-house legal teams reviewing indemnity, liability limits, and dispute resolution clauses before execution.
  • Accounts payable/accounts receivable teams managing invoicing, payment terms, and backup documentation.

Use this agreement to align stakeholders and create a single, auditable record of the service relationship.

Essential Clauses to Include in the BURG Agreement

Core components below describe the essential contractual clauses and administrative exhibits that should appear in a professional Business Services BURG Agreement.

Scope of Work

Define specific services, deliverables, performance metrics, acceptance criteria, and milestones. Include exhibits for task descriptions, SLAs, and any excluded activities to avoid scope creep and billing disputes.

Payment Terms

Specify fees, billing schedule, invoicing requirements, late payment interest, expense reimbursement, tax responsibilities, and acceptable payment methods. Tie payment milestones to deliverable acceptance and change-order approvals.

Confidentiality

Identify confidential information, permitted disclosures, required safeguards, return or destruction obligations, and duration of confidentiality. Include remedies for breaches, carve-outs, and customer data handling clauses.

Liability Limits

State indemnity obligations, liability caps, consequential damage exclusions, and insurance requirements. Clarify which party bears third-party claim costs, defense responsibilities, and settlement processes.

Term & Termination

Specify effective date, initial term, renewal mechanics, termination for convenience or cause, cure periods, and post-termination wind-down responsibilities including final deliverables, final payments, and return of confidential materials.

Dispute Resolution

Choose governing law, venue, informal escalation, mediation, and arbitration options. Clarify injunctive relief rights, cost allocation, and whether attorney fees are recoverable, and specify the final binding process.

Common Preparation Mistakes to Avoid

  • Leaving vague service descriptions that create scope ambiguity and disputes over billing or performance, often resulting in change orders that lack pricing and approval criteria.
  • Failing to specify specific acceptance criteria or inspection procedures, which delays final payments and increases disagreement over whether deliverables meet contractual standards.
  • Using inconsistent names or missing taxpayer identification numbers, leading to withholding obligations, backup withholding, or IRS information return rejections.
  • Overlooking authorization for subcontracts or subcontractor liability, which can leave the primary contractor exposed to unapproved third-party work and unpaid claims.

Primary Penalties and Contractual Risks

Late Payment Penalty: Interest, fees, and collection costs.
IRS Backup Withholding: 24% withholding if missing or incorrect TIN.
Contractual Damages: Compensatory damages, liquidated sums, attorney fees.
Termination Costs: Early termination fees and transition expenses.
Regulatory Noncompliance: Fines, license risk, and enforcement actions.
Notarization Errors: Invalid acknowledgements can void execution.
