What the Business Services Cactus Is and when it applies

The Business Services Cactus is a standard-form services agreement used to define deliverables, payment, timelines, and responsibilities between a service provider and a client. It groups core commercial terms—scope, fees, milestones, confidentiality, and liability—into a single document intended for recurring vendor engagements, project-based work, or ongoing retained services. When properly completed and signed, it creates binding contractual obligations; execution may be electronic under federal and state e-signature laws when parties satisfy legal validity requirements.

Why the Business Services Cactus matters for commercial engagements

A clear written services agreement reduces ambiguity about scope, timing, and payment, and helps manage risk through defined remedies, insurance, and indemnities. When signed electronically in compliance with the ESIGN Act (15 U.S.C. §7001) and applicable state UETA rules, the agreement is enforceable and reproducible for audits and dispute resolution.

  • Project managers who define milestones, deliverables, and acceptance criteria.
  • Finance or accounts payable for review of payment schedules and invoicing.

Adjust the signatory and approval workflow based on corporate authority levels and any industry-specific compliance needs such as HIPAA or financial regulations.

Who has authority to sign and how to document it

CEO / Authorized Officer

Typically signs on behalf of the company when within delegated authority. If authority exceeds set limits, attach a board resolution or corporate authorization confirming power to bind the entity.

Procurement / Agent

Designated procurement or contracting officers may sign under delegated authority. Maintain a written delegation of authority and retain it with the executed agreement for audit trails.
