Common mistakes to avoid when preparing the Coffee Lodge

  • Using ambiguous service descriptions such as 'assistance as needed' that lead to disputes about scope and additional charges.
  • Failing to capture the authorized signer’s title and authority, resulting in rejected or unenforceable signatures by internal reviewers.
  • Omitting payment terms or deposit rules which delays collections and complicates refunds or cancellations.
  • Not configuring authentication or audit-trail settings when eSigning — weak authentication can undermine evidentiary weight in disputes.

Risks and potential consequences of errors

Contract disputes: Ambiguous terms can increase litigation risk and costs
Tax exposure: Incorrect payer/vendor data can trigger backup withholding
Regulatory noncompliance: HIPAA or local rules violations carry fines
Insurance gaps: Missing vendor insurance can shift liability
Notarization defects: Improper notarization may invalidate filings
Record loss: Poor retention increases audit risk

Who typically signs and their authority

Owner — Café Manager

The owner or appointed manager who controls vendor contracts and daily operations signs on behalf of the business; include printed name, title, and authority statement to confirm signing power and avoid disputes.

Vendor — Service Representative

Authorized vendor representative or contracting agent signs to accept scope and payment terms; include company name, signer title, and a line confirming the signer has authority to bind the vendor.
