What the Business Services Combo Agreement Is

A Business Services Combo Agreement is a single contract that bundles multiple service obligations, schedules, and payment terms between a service provider and a client. It typically consolidates scopes of work, deliverables, pricing, change-order procedures, insurance and indemnity provisions, and termination rights into one enforceable document to reduce administrative fragmentation and clarify responsibilities across related projects or service lines.

Why organizations use a Combo Agreement

Combining related services into one agreement reduces duplication, streamlines invoicing and change management, and centralizes risk allocation. It makes oversight simpler when multiple departments or subcontractors are involved while preserving clear provisions for each service element.

Why organizations use a Combo Agreement

Who typically completes this agreement

Use this agreement when you want one governing contract with distinct service schedules rather than several isolated agreements.

  • Professional services firms consolidating consulting, implementation, and support engagements for one client.
  • Facilities and operations teams coordinating maintenance, security, and janitorial contracts across sites.
  • Vendors offering package deals that combine licensing, onboarding, and ongoing managed services.

Common signer roles and responsibilities

Authorized Signatory

A company officer or employee with delegated authority to bind the organization. This person should be listed by title and, where applicable, have board or executive delegation; failure to confirm authority can make the agreement voidable.

Service Manager

Operational lead responsible for day-to-day performance, change orders, and acceptance testing. The Service Manager is the primary contact for deliverables and should be named in the schedule for notices and escalation.

Core sections to include in a professional Combo Agreement

A well-drafted agreement separates legal terms from operational schedules so each service line has clear scope, milestones, and acceptance criteria while a unified contract governs payment, liability, and termination.

Scope by Schedule

Separate, labeled schedules for each service line that define deliverables, metrics, acceptance criteria, and exclusions so parties can manage obligations independently under one master agreement.

Payment Terms

Detailed billing schedules, invoicing intervals, late-payment interest, and expense reimbursement rules. Specify currency and tax responsibility to prevent downstream disputes.

Change Control

Formal process for requesting, approving, and pricing modifications to scope or timeline, including routing, approval thresholds, and effective-date mechanics for change orders.

Term and Termination

Agreement duration, renewal mechanics, termination for convenience and cause, and post-termination obligations such as transition assistance and final invoicing.

Liability and Insurance

Limits of liability, indemnities, and minimum insurance requirements tied to the combined services and any subcontractor obligations.

Confidentiality

Unified confidentiality and data-handling standards applicable to all schedules, with specifics for personal data, trade secrets, and permitted disclosures.

Step-by-step: completing the Combo Agreement

Follow this sequence to prepare, review, sign, and distribute the agreement with minimal rework.

  • 01
Prepare Draft: Populate master terms and attach service schedules.
  • 02
Internal Review: Legal and finance confirm risk, pricing, and Xs.
  • 03
Counterparty Review: Send to client for redlines and negotiate.
  • 04
Execution: Obtain signatures and distribute final copies.

How execution and delivery typically flow

A clear signing and distribution path reduces confusion; define signer order and final document recipients up front.

  • Sender Uploads: Upload master agreement and schedules.
  • Fields Placed: Assign signature, date, and initial fields.
  • Signers Notified: Recipients receive email or link to sign.
  • Final Copies: All parties receive executed PDF and audit log.

Typical digital workflow settings and recommended configuration

Configure authentication and routing to match your internal control requirements and the sensitivity of the services.

Field Configuration
Signer Order Sequential for approvals; parallel for acknowledgements
Authentication Email by default; add SMS or KBA for higher assurance
Reminders Auto-reminders at 3, 7, and 14 days
Access Controls Restrict document downloads to signed parties

Digital signing and delivery considerations

Ensure the platform can produce an exportable certificate of completion and preserves the signed document in tamper-evident form.

  • Formats Supported: PDF, DOCX, and fillable forms
  • Integrations: CRM and storage connectors available
  • Audit Trails: IP, timestamp, and action logs

Real-world examples of Combo Agreement use

These short examples show how organizations combined services under one agreement to simplify operations and approvals.

Martin Properties — Real Estate Services

Martin Properties consolidated leasing, maintenance, and property management into one contract to eliminate duplicate renewals.

  • The combined agreement tied payment milestones to tenant occupancy.
  • The approach allowed mobile signing, faster turnovers, and centralized vendor management while preserving individual service schedules for vendors on each property.

Fertility Centers of Illinois — Healthcare Workflow

A medical services provider bundled administrative, IT, and lab service contracts to standardize data protections and processing.

  • HIPAA addenda were attached per schedule.
  • Centralizing the agreements reduced administrative overhead, clarified breach responsibilities, and ensured consistent audit and retention policies across vendors.

Operational clauses to include for smooth delivery

Focus these operational clauses on performance measurement, billing, dispute resolution, and exit mechanics to reduce operational friction.

Service Levels

Define measurable KPIs, remedies for missed SLAs, and reporting cadence so performance failures trigger predictable remediation steps.

Invoicing Detail

Require invoice formats, supporting documentation, and a single point of contact for disputes to accelerate payment cycles.

Dispute Resolution

Specify mediation and arbitration steps, selection of governing law, and venue to limit litigation exposure.

Transition Assistance

Obligate outgoing provider to assist during termination with data export and knowledge transfer for a defined fee and period.

Practical tips for accurate and efficient completion

Apply these best practices to reduce rework, speed approvals, and improve enforceability.

Use precise party names and titles
Confirm legal entity names with the secretary of state database and include signer titles to verify corporate authority before execution.
Attach clear schedules with examples
Provide sample deliverables, acceptance checklists, and milestone dates to prevent later interpretation disputes.
Standardize signature blocks
Use consistent signature blocks across all schedules and require printed names, titles, signatures, and dates to avoid execution defects.
Document approvals and change orders
Keep an auditable trail of approvals and change orders, and require a written amendment for changes to price or scope.
