BUSINESS SERVICES CONTRACT TEMPLATE

This Business Services Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires certain professional services described herein and desires to engage Provider to perform such services on the terms and conditions set forth in this Agreement; and

WHEREAS, Provider represents that it has the skills, experience and resources necessary to perform the services and agrees to perform such services as an independent contractor and not as an employee of Client; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services to be provided under this Agreement.

SCOPE OF WORK

Provider shall perform the services and deliver the deliverables described below in accordance with the terms of this Agreement. Provider will perform services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Provider the fees and expenses set forth below in consideration for the performance of services. All fees are exclusive of taxes, which Client is responsible to pay where applicable.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Agreement.

Termination: Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the intended termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

If checked, this Agreement shall automatically renew for successive periods of the same length as the initial term unless either party provides written notice of non-renewal at least days prior to the end of the then-current term.

CONFIDENTIALITY

Definition: "Confidential Information" means all non-public information disclosed by a party (the Discloser) to the other party (the Recipient), whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Recipient shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party except as expressly permitted by this Agreement, and (iii) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement. Recipient shall take reasonable measures to protect Confidential Information from unauthorized access, disclosure or use.

Exceptions: Confidential Information does not include information that (a) is or becomes publicly available through no fault of Recipient; (b) was known to Recipient prior to disclosure as shown by written records; (c) is rightfully received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

Duration: The obligations in this Section shall survive for following the termination or expiration of this Agreement.

INDEMNIFICATION; LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct, or breach of this Agreement.

Limitation of Liability: EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR A PARTY'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT.

INSURANCE

Provider shall maintain at its expense insurance coverages appropriate to the services to be performed, including general liability and professional liability insurance. Upon request, Provider will provide certificates evidencing such insurance.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or as updated by written notice in accordance with this Section.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement: This Agreement, including any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Relationship of the Parties: Provider is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership or joint venture relationship between the parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.
