What the Business Services Corp-to-Corp Agreement Is

A Business Services Corp-to-Corp Agreement is a written contract between two corporate entities defining the delivery of services, payment terms, responsibilities, and risk allocation when one corporation engages another to perform professional work. Typical clauses cover the scope of services, term and termination rights, fees and invoicing, intellectual property ownership, confidentiality, indemnification, insurance requirements, and limitations of liability. The agreement clarifies that the parties are independent corporations rather than employer and employee, and it frequently includes compliance provisions for applicable laws, data protection, and subcontracting rules to reduce ambiguity about duties and legal exposure.

Why a Corp-to-Corp Agreement Matters for Business Services

A clear corp-to-corp agreement protects both entities by setting expectations for deliverables, payment, intellectual property, and risk allocation, and by reducing disputes over independent-contractor status.

Why a Corp-to-Corp Agreement Matters for Business Services

Who Typically Uses a Business Services Corp-to-Corp Agreement

Common users range from staffing firms and consultancies to client companies that engage corporate contractors for projects, interim leadership, or specialized services.

  • Staffing agencies and consultancies providing services via corporate entities
  • Technology and professional services firms engaging third-party corporate contractors
  • Large enterprises hiring specialist vendors as independent corporate contractors

Choosing the right signatories and reviewers ensures enforceability and aligns corporate governance with contract obligations.

Core Sections to Include in a Professional Corp-to-Corp Agreement

A well-drafted agreement organizes commercial, operational, and legal terms so both corporations can perform, measure, and enforce obligations without ambiguity.

Scope of Services

Precise description of tasks, deliverables, milestones, and acceptance criteria to avoid scope creep and payment disputes.

Payment Terms

Fee structure, invoicing schedule, currency, expense reimbursement, and late payment interest to define cash flow expectations.

Term and Termination

Effective date, contract length, renewal mechanics, and termination for convenience or cause with notice requirements.

IP and Work Product

Ownership assignment or license language for deliverables, preexisting IP, and rights to use results after termination.

Confidentiality

Non-disclosure obligations, permitted disclosures, duration, and return or destruction of confidential materials.

Liability and Insurance

Limits of liability, indemnities, required insurance types and minimum coverage amounts to manage financial exposure.
