What the Business Services Dedicated Agreement Is

A Business Services Dedicated Agreement is a written contract between a client and a provider that defines a dedicated scope of services, staffing or resources reserved for the client, service levels, pricing, term, renewal, and termination rights. It typically allocates responsibilities for deliverables, intellectual property ownership, confidentiality, data protection, indemnities, and dispute resolution. When executed correctly it creates binding obligations for both parties and can include attachments such as a statement of work, pricing schedule, and performance metrics. Electronic signatures executed under ESIGN or UETA are generally acceptable in the United States for these contracts.

Why use a Dedicated Services Agreement

The agreement secures priority access to resources, clarifies performance expectations, reduces scope disputes, and memorializes pricing and termination terms — improving predictability for both parties.

Why use a Dedicated Services Agreement

Who commonly completes this agreement

Typical parties include procurement teams, vendor account managers, in-house counsel, and operations leads who need a formal commitment for dedicated services.

  • Procurement and Sourcing teams who manage vendor commitments and SLAs
  • Legal and Contracting groups that review liability, IP, and termination clauses
  • Operations or Program Managers who oversee day-to-day service delivery

Use the checklist below to identify relevant stakeholders for review and signature before execution.

Core elements to include in the agreement

A complete agreement is organized so each section is actionable, measurable, and assigns responsibility for delivery, review, and remedy.

Scope of Services

Describe services in measurable terms, include hours or FTEs, deliverables, acceptance criteria, and exclusions to avoid ambiguity and scope creep.

Term & Renewal

Specify start and end dates, automatic renewal mechanics, notice periods for nonrenewal, and any early termination fees or unwind obligations.

Service Levels

Define KPIs, response and resolution targets, reporting cadence, remedies for SLA failures, and credits or liquidated damages if applicable.

Pricing & Payment

List fees, payment schedule, invoicing requirements, expense reimbursement, late payment interest, and any price adjustment formula or CPI index.

Confidentiality & Data

State confidentiality obligations, permitted disclosures, data security controls, breach notification timelines, and any required privacy addenda (HIPAA, if applicable).

IP & Deliverables

Clarify ownership of preexisting IP, ownership or license of work product, transfer mechanics, and any assignment restrictions.

Step-by-step: complete and execute the agreement

Follow these discrete steps to prepare, approve, sign, and store the agreement.

  • 01
Draft: Populate all required fields and attach SOW or schedules.
  • 02
Internal Review: Legal and procurement review for risk, compliance, and pricing.
  • 03
Authorize Signers: Confirm signatory authority and required corporate approvals.
  • 04
Execute: Obtain signatures, notarization if required, and distribute fully executed copies.

Digital execution flow for the agreement

A typical e-signing workflow reduces friction and preserves an audit trail for enforceability.

  • Upload Document: Sender uploads the final contract PDF or DOCX.
  • Place Fields: Add signature, date, and initial fields for each signer.
  • Send to Signers: Invite signers by email or provide a secure link.
  • Capture Audit Trail: Platform records timestamps, IP, and authentication method.

Recommended digital workflow settings

Configure these settings to match legal and operational needs before sending the agreement for signature.

Field Configuration
Authentication Email link or SMS code for signer verification
Signing Order Sequential or parallel based on approval requirements
Reminders Auto-reminders at configurable intervals
Audit Trail Enable full event logging and PDF certificate

Digital signing and platform needs

Confirm platform capabilities that match your legal and IT requirements before e-submission.

  • Integrations: Salesforce, NetSuite, Google Workspace
  • File Formats: PDF, DOCX, HTML
  • Authentication: Email, SMS, optional KBA

Key legal risks and potential penalties

Unenforceability: Improper execution may render the agreement void or unenforceable
HIPAA Violation: Unauthorized PHI handling can trigger penalties and breach reporting
Tax Penalties: Incorrect billing or reporting may create tax liability or penalties
I-9 Violations: Employment verification failures can incur DHS fines
Breach Damages: Failure to meet SLAs can result in damages or service credits
Data Loss: Inadequate retention risks evidence loss in disputes

Common mistakes to avoid when preparing the agreement

  • Failing to identify the authorized signer and corporate capacity, which can delay execution or invalidate signatures
  • Using vague scope language or omission of deliverables, leading to scope disputes and change-order friction
  • Neglecting to attach the statement of work, pricing schedules, or acceptance criteria as enforceable exhibits
  • Skipping required privacy addenda (for PHI) or failing to secure a Business Associate Agreement when applicable
