What the Business Services Diana document is and how it’s used

The Business Services Diana is a structured commercial services agreement used to define the scope, deliverables, payment terms, timelines, and responsibilities between a service provider and a business client. It typically documents performance milestones, acceptance criteria, invoicing schedules, confidentiality obligations, and dispute-resolution steps. Organizations use this form to ensure both parties have the same expectations, to support audit trails, and to create an enforceable written record. When executed correctly it becomes the primary reference for project management, billing, and legal review across procurement, accounts payable, and contract management workflows.

Why a well-prepared Business Services Diana matters

A clear, complete Business Services Diana reduces ambiguity about deliverables, protects both parties from unintended liability, and streamlines billing and dispute resolution by documenting key terms in plain language.

Why a well-prepared Business Services Diana matters

Who typically prepares and signs this document

The Business Services Diana is most often completed by procurement, account managers, finance, or external vendors before project start.

  • Procurement teams and contract managers: draft and negotiate terms, track approvals, and coordinate legal review before signature.
  • Finance and accounts payable: verify payment schedules, tax reporting requirements, and invoice routing to ensure accurate vendor setup.
  • Service providers and vendor representatives: confirm scope, delivery dates, acceptance criteria, and authorized signers for execution.

After execution, operations and project leads use the agreement as the operational roadmap and accounting uses it for payment processing.

Common mistakes to avoid when preparing this document

  • Using vague scope language; vague deliverables create disputes and change-order costs that are hard to reconcile.
  • Incorrect or missing tax ID information; missing TINs risk backup withholding and delayed payments to vendors.
  • Skipping authentication requirements; weak signer verification can weaken enforceability in high-risk transactions.
  • Failing to attach referenced exhibits and SOWs; absent exhibits often nullify critical performance metrics and billing milestones.
