What Business Services DLT MAGNUM Is and When It’s Used

The Business Services DLT MAGNUM is a standardized contractual and operational document used by organizations procuring or providing distributed ledger technology (DLT) services. It records parties, service scope, data access permissions, technical endpoints, performance expectations, and compliance obligations such as privacy and security controls. The form accommodates appendices for technical specifications, service level agreements, and audit requirements and is suitable for both paper and electronic execution in the United States where ESIGN and state UETA provisions permit eSignature use. Proper completion creates a clear record for procurement, security reviews, and regulatory oversight.

Why a Consistent DLT MAGNUM Form Matters

Using a single Business Services DLT MAGNUM template reduces ambiguity about roles, data flows, and liability, shortens negotiation cycles, and supports repeatable compliance checks. It is compatible with U.S. eSignature frameworks and can include privacy or HIPAA addenda where required.

Why a Consistent DLT MAGNUM Form Matters

Typical Teams and Roles That Prepare or Sign the Form

The Business Services DLT MAGNUM is prepared and reviewed by cross-functional teams that manage procurement, legal, security, and operations.

  • IT procurement teams coordinating vendor integrations and technical onboarding
  • Legal counsel reviewing liability, IP, and compliance language prior to execution
  • Operations and security staff defining data access, logging, and audit requirements

Final execution commonly requires a named signer with contractual authority and a technical approver to confirm implementation details.

Who Has Authority to Sign

Authorized Signer

Chief Financial Officer or an officer with delegated signature authority typically signs to bind the company. Confirm delegation limits in corporate records and ensure the signer’s name and title match company authorization documents to prevent enforceability disputes.

Technical Approver

A Director of Engineering or CTO-level delegate usually approves technical appendices and confirms endpoint, access, and integration details. Their endorsement documents operational readiness and reduces implementation risk if retained with the executed agreement.

Core Elements to Include in a Professional DLT MAGNUM

A complete Business Services DLT MAGNUM combines commercial, technical, and compliance elements so responsibilities, data use, and security controls are explicit and auditable.

Parties

Full legal entity names, DBA entries as applicable, and contact details for contract notices and technical contacts; include registered addresses and corporate identifiers.

Scope

Concise description of services, transactions to be recorded on the ledger, accepted formats, supported environments, and deliverables tied to measurable acceptance criteria.

Data Access

Permissions, retention, encryption standards in transit and at rest, data sharing limits, and mechanisms for data subject requests or deletion where applicable.

Security Controls

Encryption standards, authentication methods, logging and monitoring expectations, incident response obligations, and periodic audit rights or third-party attestation.

Liability

Limitations of liability, indemnities for breaches or third-party claims, insurance minimums, and carve-outs for willful misconduct or gross negligence.

Compliance Annex

Applicable regulatory controls, required addenda (HIPAA BAA if PHI involved), export controls, and provisions for eSignature and remote notarization where used.

Step-by-Step: Completing the DLT MAGNUM

Follow this sequence to prepare, review, and finalize the form efficiently while preserving an audit trail.

  • 01
Prepare: Collect party details, append technical exhibits, and confirm data categories.
  • 02
Legal Review: Route to counsel for liability and IP clauses; resolve ambiguous terms.
  • 03
Technical Validation: Have technical approver confirm endpoints, formats, and SLAs.
  • 04
Execute: Obtain signatures in the required order and retain signed copy with exhibits.

How to Configure an Online Completion Workflow

Set up roles, fields, and authentication to match your internal approval process before sending the document for signature.

Field Configuration
Signer Order Sequential or parallel routing as required by approvals
Auth Method Email link, SMS code, or KBA for higher assurance
Attachments Require technical appendices and SLAs as mandatory uploads
Audit Settings Enable full audit trail and view/download permissions

Where to Send and How the Document Flows

Typical routing sends the completed form from procurement to legal, then to technical approver, and finally to the authorized signer.

  • Procurement: Uploads completed draft and assigns initial signer role
  • Legal: Reviews terms and flags required changes
  • Technical: Validates appendices and confirms implementation timeline
  • Final Sign: Authorized signer executes and returns final copy

Digital Signing and Distribution Options

Choose a platform that supports industry-standard formats, audit trails, and required integrations for your workflow.

  • File Formats: PDF, DOCX and exportable XML for system ingestion
  • Integrations: CRM, ERP, and storage connectors such as Salesforce, NetSuite, and Box
  • Authentication: Support for email, SMS, KBA, and SSO where required

Retain signed copies in a secure document repository with versioning and role-based access controls for audit readiness.

Common Deadlines and Processing Expectations

Track internal and external deadlines to avoid contract lapses, missed filings, or tax reporting penalties.

Internal Review Period:

Allow 10–21 business days for procurement, legal, and technical reviews

Execution Deadline:

Specify an execution window, commonly 30–60 days from final draft circulation

Independent contractor reporting deadlines to recipients and IRS commonly fall on Jan 31

I-9 Retention:

Retain I-9 records 3 years after hire or 1 year after termination

Audit Response:

Provide requested documentation within 30 days unless statute specifies otherwise
