BUSINESS SERVICES AGREEMENT

Recitals

WHEREAS, Service Provider is engaged in the business of providing professional services, including but not limited to consulting, project management, and technical services, and represents that it has the skill, expertise and personnel necessary to perform the services described in this Agreement; and

WHEREAS, Client desires to retain Service Provider to perform the services set forth herein on the terms and conditions contained in this Agreement; and

WHEREAS, the parties wish to set forth the terms, conditions and mutual obligations that will govern their relationship.

Scope of Work

Service Provider shall perform the services described below. Service Provider will use commercially reasonable efforts and qualified personnel to perform the services in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client shall pay Service Provider the consideration set forth below in exchange for the services rendered. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

Invoices shall be submitted to Client in accordance with the payment schedule above and are due within days of invoice date. Past due amounts shall accrue interest at a rate of on the outstanding balance, and Client shall be responsible for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days prior to the effective date of termination. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (a) hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not use Confidential Information for any purpose other than performance under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents, or permitted subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein.

Independent Contractor; Insurance

Service Provider is an independent contractor and nothing in this Agreement creates an employment, joint venture, partnership or agency relationship. Service Provider shall be responsible for all taxes and benefits applicable to its personnel. Service Provider shall maintain insurance coverage appropriate to the services provided and, upon request, provide certificates of insurance evidencing such coverage.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for any indirect, incidental, special or consequential damages, including lost profits. Service Provider's aggregate liability for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for resolution of disputes arising out of this Agreement.

Entire Agreement; Amendments

This Agreement (including any attachments or exhibits expressly incorporated herein) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

Any notice required or permitted under this Agreement shall be in writing and shall be delivered to the address of the receiving party set forth above or to such other address as either party may designate by notice in accordance with this section. Notices shall be deemed given upon receipt.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a merger or sale of substantially all of its assets.
