Practical tips to reduce risk and speed execution

Practical practices to improve accuracy, speed, and legal strength when preparing and signing the document.

Use consistent legal names and identifiers
Ensure company names, DBA entries, and taxpayer identification numbers match government records and payment systems to prevent withholding, delayed payments, or enforceability questions.
Attach detailed SOW and acceptance criteria
Place deliverables, acceptance tests, and milestone checklists as exhibits. Link payments to objective milestones to reduce disputes and simplify approvals and invoice reconciliation.
Limit open-ended indemnities and caps
Define monetary caps, carve-outs, and insurance requirements clearly. Narrowing broadly worded indemnities reduces exposure and aligns risk with pricing.
Choose appropriate eSignature authentication
Match authentication strength to transaction risk: email or SMS for low-risk, KBA or multi-factor for high-risk, and preserve audit trails to satisfy ESIGN/UETA validity requirements.
