What the Business Services Druva Template Is

The Business Services Druva Template is a standardized agreement framework used to document the delivery of business services that involve Druva-managed data protection or related cloud services. It outlines parties, scope of work, data handling and security expectations, service levels, fees, term and termination, and responsibilities for backups, restores, and incident response. The template is intended to be adapted for each engagement, capturing compliance requirements such as HIPAA or industry-specific controls, while preserving an audit-ready record of the obligations between a service provider and a customer.

Why a Structured Template Helps

A clear template reduces ambiguity about deliverables, clarifies data protection responsibilities, and provides a consistent basis for reviewing compliance obligations such as HIPAA or vendor-managed backups. It supports auditability and easier contract reviews across legal, security, and procurement teams.

Why a Structured Template Helps

Who Typically Uses This Template

Teams that prepare, review, or accept managed data protection services most commonly use the template.

  • IT and cloud operations teams responsible for backups and restores, ensuring technical scope and SLAs are captured clearly.
  • Legal and procurement teams that review indemnity, data processing terms, and contract clauses for compliance.
  • Security and compliance officers who verify controls, data residency, and any HIPAA or regulatory language required.

The template supports collaboration across these groups by centralizing required fields and standardizing language for recurring engagements.

Core Sections to Include in the Template

A well-constructed Business Services Druva Template contains sections covering scope, data protection, service levels, fees, term and termination, and responsibilities for compliance and audits.

Scope of Services

Describe included deliverables, environments, and exclusion lists so both parties share a single definition of covered systems and activities.

Data Protection

Specify backup frequency, retention, encryption standards, access controls, and any required Business Associate Agreement (BAA) for HIPAA-covered data.

Service Levels

Define availability targets, recovery time objectives (RTO), recovery point objectives (RPO), measurement methods, and credits for missed SLAs.

Fees and Billing

List setup fees, recurring charges, payment terms, and any variable fees for restores, data egress, or overage usage.

Term & Termination

State initial term, renewal mechanics, termination for convenience or cause, and post-termination transition assistance obligations.

Audit & Compliance

Include audit rights, required evidence (SOC 2, ISO 27001), incident notification timelines, and data disposal procedures.

Step-by-Step: Completing the Template

Follow these sequential steps to populate the template, validate compliance clauses, and obtain signatures.

  • 01
Prepare Materials: Gather entity formation docs, insurance certificates, and required compliance evidence.
  • 02
Fill Core Fields: Enter names, effective date, scope, and key technical parameters.
  • 03
Review Legal Clauses: Confirm indemnity, limits of liability, and data processing language meet internal requirements.
  • 04
Obtain Signatures: Route to authorized signers and capture dated signatures with an audit trail.

Where to Send and How Submission Works

Decide the routing destination based on whether the recipient needs to countersign, accept a BAA, or supply attachments.

  • Internal Review: Route to legal and security for clause and control verification.
  • External Signing: Send to customer signatory with required attachments, like SOC reports or insurance.
  • BAA Execution: Attach a BAA when PHI is involved and ensure both parties sign it.
  • Record Retention: Store executed copies in a secure, access-controlled repository.

Configuring an Online Workflow for This Template

Set up role-based routing, required fields, and authentication settings before sending the template for signatures.

Field Configuration
Template Name Use a consistent naming convention including client and service type
Signer Order Define sequential or parallel signing to enforce approval flow
Required Fields Mark legal names, dates, and fee cells as mandatory
Authentication Select email-only, SMS code, or stronger methods per risk level

Technical Considerations for Digital Execution

Verify supported file formats, acceptable signer authentication, and integration endpoints before sending.

  • File Formats: PDF, DOCX, and XLSX are supported
  • Authentication: Email, SMS, or KBA options available
  • Integrations: CRM and storage connectors simplify recordkeeping

Confirming these requirements ahead of execution reduces signer friction and ensures completed agreements are stored with consistent metadata and audit trails for compliance purposes.

Practical Tips for Accurate, Efficient Completion

Adopt consistent processes and validation controls to reduce errors and speed approvals when using the template at scale.

Standardize Template Versions
Maintain a single approved source of truth in your contract repository and use version controls so legal and procurement work from the same language set to avoid conflicting clauses.
Pre-Approve Common Clauses
Create pre-approved security, indemnity, and SLA language for routine engagements to reduce attorney review time while preserving protections for higher-risk contracts.
Validate Signer Authority
Require evidence of signing authority or a corporate resolution for entity-level signatures to prevent later challenges to contract validity or enforceability.
Capture Compliance Evidence
Attach SOC reports, insurance certificates, and BAAs at signing to ensure the contract record contains required supporting documentation for audits.

Common Preparation Mistakes to Avoid

  • Using vague scope language that leaves deliverables open to multiple interpretations and leads to disputes during incidents.
  • Mismatched party names or tax IDs that delay invoicing, payments, and recognition of the correct contracting entity.
  • Failing to attach required compliance exhibits such as SOC 2 reports or a signed BAA when handling regulated data.
  • Not specifying data egress or restore fees, resulting in unanticipated charges during large restores or migrations.

Risks and Consequences of Incomplete or Incorrect Agreements

Regulatory Penalties: Potential fines or corrective actions
Contract Disputes: Loss of remedies or ambiguous liability
Tax Issues: Incorrect payee info risks backup withholding
HIPAA Violations: Possible civil penalties without BAA
Service Interruptions: Unclear SLAs risk missed restores
Audit Failures: Incomplete records hinder compliance reviews
