What the Business Services DSP Agreement Covers

The Business Services DSP Agreement is a customizable contract that defines the relationship between a service provider and a business client for delivery of professional services, deliverables, schedules, fees, and intellectual property rights. It sets expectations for scope, milestones, payment terms, confidentiality, and dispute resolution so both parties understand obligations and remedies. Use the template to document performance standards, acceptance criteria, invoicing and indemnities, and to identify the authorized signers who can bind each organization. This agreement can be executed electronically where permitted under U.S. law.

Why a Clear DSP Agreement Matters for Business Services

A well-drafted agreement reduces ambiguity about responsibilities, protects confidential information and IP, clarifies payment and liability exposure, and helps ensure timely performance and enforceability under U.S. electronic signature laws such as the ESIGN Act and state UETA statutes.

Why a Clear DSP Agreement Matters for Business Services

Who Typically Uses the Business Services DSP Agreement

The agreement is used by procurement, operations, legal teams, and independent service providers to standardize terms and speed execution.

  • Procurement and sourcing teams managing vendor selection and contract lifecycle; they use consistent templates to compare offers and control risk.
  • Service providers and subcontractors delivering business services who need clear payment terms, deliverable definitions, and IP assignment language.
  • In-house legal and compliance teams that require versioned contracts, confidentiality clauses, and signature authority records for audits.

Using a standard template reduces negotiation time while allowing targeted edits for industry, jurisdiction, and project-specific needs.

Typical Authorized Signers

CEO / CFO

Senior officers often have corporate authority to bind the company. Their signatures are used when the agreement involves high-value commitments, indemnities, or long-term obligations requiring board-level approval.

Procurement Lead

Procurement or operations managers may sign under delegated authority for standard services within pre-approved limits. Ensure delegation is documented in corporate minutes or an internal authorization matrix.
