What the Business Services DXL Is and when it’s used

The Business Services DXL is a standardized service delivery document that outlines scope of work, deliverables, pricing, timelines, acceptance criteria, and billing terms between a service provider and a client. It is used to make expectations explicit, reduce disputes, and support invoicing and performance tracking. The DXL can be delivered as a fillable PDF or DOCX and executed electronically where permitted by U.S. law (ESIGN and state UETA statutes), or completed in paper form when required by specific jurisdictional rules.

Why organizations rely on a clear, consistent DXL

A well-formed Business Services DXL clarifies responsibilities, aligns payment milestones with deliverables, and creates an auditable record for compliance and accounting purposes while enabling electronic execution under federal and state e-signature laws.

Why organizations rely on a clear, consistent DXL

Typical users and roles that prepare or sign a DXL

The Business Services DXL is commonly prepared by internal operations, legal, or finance teams and signed by authorized representatives on both sides.

  • Service delivery managers and project leads who verify scope, timelines, and acceptance criteria before signature.
  • Finance and accounts payable teams who confirm fees, invoicing schedules, and tax or withholding requirements.
  • Authorized executives or officers who have signatory authority under corporate bylaws or power-of-attorney delegations.

Document routing typically follows an internal approval chain before it is presented to external signers for execution and retention.

Core components every professional Business Services DXL should include

A complete DXL organizes information so reviewers can confirm obligations at a glance and auditors can trace approvals. The following elements form the minimum practical structure for commercial use.

Scope

A precise description of services, deliverables, and exclusions so both parties understand what is and is not included.

Deliverables

Quantifiable outputs, formats, acceptance criteria, and delivery method to determine when work is complete.

Fees

Pricing model, payment milestones, late-payment terms, and any reimbursable expenses tied to invoicing.

Timeline

Start date, key milestones, completion date, and procedures for schedule changes or delays.

Acceptance

Testing, approval process, and remedy steps for defective or incomplete deliverables.

Termination

Termination rights, notice periods, post-termination obligations, and how outstanding fees are calculated.

Step-by-step: completing a Business Services DXL

Follow these steps in order to prepare, review, and execute the DXL correctly and consistently.

  • 01
Draft core terms: Enter scope, deliverables, schedule, and fees before routing for review.
  • 02
Internal approvals: Obtain sign-off from legal and finance to confirm wording and payment terms.
  • 03
Add signatures: Place signature, date, and capacity fields for each party.
  • 04
Finalize and retain: Execute, distribute final copies to stakeholders, and store in your records system.

Configuring an electronic workflow for the DXL

When converting the DXL into an e-form, set these workflow parameters to match your approval and audit needs.

Field Configuration
Authentication Level Email with optional SMS code or KBA depending on risk
Signer Order Sequential or parallel routing to control approval sequence
Reminders Automated reminders at configurable intervals until signed
Expiration Set an expiration date to void stale signature links

Where to send the DXL and how it flows between parties

The typical routing pattern ensures document custody, signer authentication, and a complete audit trail for each transfer.

  • Upload Document: Sender uploads template to a secure document platform.
  • Place Fields: Sender assigns name, date, signature, and conditional fields.
  • Route to Signers: Signers receive secure links or email invites to review and sign.
  • Archive Final Copy: Signed PDF and audit trail are stored for recordkeeping.

Technical and file-format considerations for electronic execution

Choose a platform that supports required formats and integrations for your operational environment.

  • Document formats: PDF, DOCX, XLSX supported
  • Integrations: Salesforce, NetSuite, Microsoft 365
  • Authentication: Email, SMS code, KBA options

Ensure the chosen platform can produce an audit trail, export signed PDFs, and integrate with your document management or ERP systems.

Track these dates to avoid missed milestones, billing delays, or compliance shortfalls tied to the agreement lifecycle.

Payment Due Date:

Number of days after invoice is issued (e.g., Net 30)
