Practical tips for accurate and efficient completion

Practical tips to reduce errors and accelerate processing when completing the Business Services ECL Template across teams and clients.

Use standardized clause libraries and templates
Maintain an approved library of clauses and exhibits to avoid repeated negotiation. Standardize payment terms, liability limits, and IP provisions so legal reviews focus on exceptions.
Validate legal names and tax identifiers early
Confirm legal entity names, EINs, and W-9 information before execution to avoid tax reporting errors and backup withholding triggers (backup withholding rate 24%).
Use conditional fields and version control
Show only relevant sections using conditional fields, include a version number, and preserve edit logs to maintain a single source of truth and clear auditability.
Set clear signing order and authentication requirements
Define whether signers use email, SMS code, or stronger ID verification. Higher authentication reduces challenge risk and strengthens evidence under ESIGN criteria.

Common preparation mistakes to avoid

  • Leaving scope language vague, which causes disputes about deliverable acceptance and payment obligations.
  • Using inconsistent party names or abbreviations that conflict with tax or bank records.
  • Failing to set explicit payment milestones, invoicing schedules, or late fee mechanics.
  • Skipping version control or audit evidence, making it hard to prove which contract terms applied at signature.

Backup Withholding: 24% withholding risk
I-9 Violations: DHS fines possible
