Recitals

WHEREAS, Service Provider is engaged in the business of providing professional business services, including consulting, implementation, and ongoing support described herein; and

WHEREAS, Client desires to obtain and Service Provider agrees to provide such services on the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that this Agreement will govern their respective rights and obligations with respect to the services described below.

Scope of Work

Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Compensation for services shall be as set forth below. Client shall pay Service Provider the fees in the amounts and according to the schedule identified in this section.

Payment is due in accordance with the billing schedule. Unless otherwise agreed in writing, invoices are due Net days from invoice date.

Late payments shall accrue interest at % per month (or the maximum lawful rate if lower), and in no event shall late fees exceed per invoice.

Client shall reimburse Service Provider for reasonable, pre-approved out-of-pocket expenses incurred in performance of services upon submission of receipts and documentation.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience by providing the other party with written notice at least days prior to the effective termination date.

Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public business, technical or financial information disclosed by one party to the other in oral, written or electronic form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Receiving party agrees (i) to hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care); (ii) not to use Confidential Information except to perform obligations under this Agreement; and (iii) not to disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

The obligations set forth in this section shall not apply to information that (a) is or becomes generally known to the public other than through a breach of this Agreement by the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of Confidential Information.

Receiving party may disclose Confidential Information to the extent compelled by law or regulation, provided it gives disclosing party prompt written notice and reasonable cooperation in seeking protective measures.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Representations; Independent Contractor; Indemnification

Each party represents that it has the full right, power and authority to enter into and perform this Agreement. Service Provider is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership, joint venture or agency relationship between the parties.

Service Provider shall indemnify and hold harmless Client from and against any third-party claims arising from Service Provider's gross negligence or willful misconduct in the performance of services. Client shall indemnify and hold harmless Service Provider from and against any third-party claims arising from Client's breach of this Agreement or misuse of deliverables.

Limitation of Liability

Except for liability arising from breach of confidentiality, gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special, punitive or indirect damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider in the six (6) months preceding the event giving rise to the claim.

Entire Agreement; Amendment

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
