What the Business Services ESIS Is and When It Applies

The Business Services ESIS is a structured information and engagement sheet used to record the scope, parties, deliverables, pricing, timelines, and authorizations for a business services engagement. It creates a single, reproducible record of agreed services and contact details, suitable for internal procurement, client onboarding, or vendor relationship management. When executed electronically, an ESIS may be enforceable under the federal ESIGN Act (15 U.S.C. ch. 96) and state UETA laws, provided intent, consent, attribution, and retention requirements are met.

Why a Clear ESIS Matters for Compliance and Recordkeeping

A well-structured ESIS reduces ambiguity about deliverables, clarifies payment terms, and documents authorization for services, supporting compliance and audit readiness under ESIGN and UETA standards.

Why a Clear ESIS Matters for Compliance and Recordkeeping

Who Typically Prepares and Signs a Business Services ESIS

Use the ESIS where a short, signature-ready record of services and terms speeds onboarding and reduces downstream disputes.

  • Small business owners and operators who need a concise service record for vendors and contractors.
  • Corporate procurement or vendor management teams that require standardized intake and audit trails.
  • Service providers and account managers who must confirm scope, pricing, and delivery schedules.

Stepwise Process for Completing and Executing the ESIS

Follow this sequence to prepare, review, and finalize the ESIS for secure electronic execution.

  • 01
Prepare Document: Populate fields with accurate party and scope details.
  • 02
Review Internally: Have legal or procurement confirm terms and payment provisions.
  • 03
Select Signers: Add authorized signers and set signing order where required.
  • 04
Execute Electronically: Use an ESIGN/UETA-capable eSignature method with audit trail.

Typical Electronic Execution Workflow for the ESIS

This overview shows how an ESIS moves from draft to completed record when signed electronically.

  • Upload: Upload the completed ESIS as PDF or DOCX for field placement.
  • Place Fields: Add signature, date, and initial fields and any conditional entries.
  • Send to Signers: Distribute via email link, bulk send, or API integration.
  • Capture Audit Trail: Record timestamps, IP, and authentication for retention.
