This Business Services Agreement ("Agreement") is entered into by and between:

Recitals

WHEREAS, Client Name: desires to obtain business services relating to information technology, systems integration, consulting and related deliverables; and

WHEREAS, Service Provider Name: represents that it has the skill, experience and personnel necessary to perform the services described in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the parties agree as follows:

Scope of Work

Service Provider shall perform the services and deliverables described herein and any attachments. The specific tasks, milestones and acceptance criteria shall be:

Payment Terms

Client shall pay Service Provider in accordance with the following fees and schedule. All fees are due in U.S. dollars unless otherwise agreed in writing.

Unpaid amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Late fee rate:

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice delivered to the other party at least days prior to the proposed termination date. Either party may terminate for material breach if such breach is not cured within 30 days after written notice of breach; provided that nonpayment is a material breach and Client shall have 10 days to cure unpaid invoices.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other in connection with this Agreement, whether oral, written or electronic. The receiving party shall (i) use Confidential Information only for performance under this Agreement, (ii) restrict disclosure to its employees, agents or subcontractors with a need to know and who are bound by confidentiality obligations substantially similar to those herein, and (iii) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall not apply to information that (a) is or becomes generally available to the public other than through a breach of this Agreement, (b) was known to the receiving party prior to disclosure, (c) is received from a third party without breach of an obligation of confidentiality, or (d) is independently developed without use of the disclosing party's Confidential Information. Upon termination, receiving party shall return or certify destruction of Confidential Information upon written request.

Intellectual Property and Deliverables

Unless otherwise agreed in writing, Service Provider grants Client a non-exclusive, perpetual license to all deliverables created specifically for Client under this Agreement upon full payment of all fees due. Service Provider retains ownership of pre-existing intellectual property, tools and methodologies used in performance. Client shall not remove or obscure any proprietary notices.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement. The indemnified party shall provide prompt written notice of any claim and cooperate in the defense; the indemnifying party shall control the defense and settlement, provided that no settlement admitting fault or imposing an obligation on the indemnified party may be entered without that party's prior written consent.

Limitation of Liability

Except for liability arising from breach of confidentiality, gross negligence, willful misconduct or indemnification obligations, neither party shall be liable for incidental, consequential, special or punitive damages. Aggregate liability under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the six months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: Governing State: without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any attachments, statements of work and written change orders signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices shall be in writing and delivered to the addresses set forth above or as otherwise designated in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in connection with a sale of substantially all of its assets.
