What the Business Services FDP Agreement Is

The Business Services FDP Agreement is a standardized commercial contract used to define the scope, deliverables, pricing, and responsibilities between a service provider and a business client. It typically covers project description, performance milestones, payment terms, confidentiality obligations, intellectual property ownership, indemnification, and termination clauses. The agreement is suitable for recurring service relationships, one‑time professional engagements, and managed services arrangements where clear role delineation and risk allocation reduce disputes. Parties often attach exhibits for pricing schedules, acceptance criteria, and service level metrics to make contractual obligations actionable and auditable.

Why This Agreement Matters for Business Services

A clear FDP agreement reduces ambiguity by defining deliverables, timelines, acceptance criteria, and payment triggers. It allocates risk, protects confidential information, and provides a documented basis for dispute resolution and compliance checks.

Why This Agreement Matters for Business Services

Who Typically Completes the Business Services FDP Agreement

Use this agreement when procurement, legal, or operations teams need a consistent contract for recurring services or professional engagements.

  • Procurement teams standardize vendor terms and payment milestones across projects.
  • Operations or program managers define scope, acceptance tests, and delivery schedules.
  • Corporate legal or contracts teams review indemnities, IP assignments, and termination rights.

Final review usually involves legal counsel and an authorized signing officer before execution.
