Recitals

WHEREAS, Service Provider is engaged in the business of providing professional services and possesses the expertise, personnel and resources necessary to perform the services described below; and

WHEREAS, Client desires to retain Service Provider to perform such services pursuant to the terms and conditions set forth in this Agreement, and Service Provider is willing to provide such services to Client; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows:

Scope of Work

Payment Terms

Compensation: Client shall pay Service Provider the sum of payable in accordance with the payment schedule below.

Invoicing and Due Date: Service Provider shall submit invoices to Client. Unless otherwise agreed in writing, Client shall pay each undisputed invoice within days of receipt.

Late Payment: Past-due amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. In addition, Client shall be responsible for all reasonable costs of collection, including attorneys' fees and court costs.

Term and Termination

Termination for Convenience: Either party may terminate this Agreement without cause by delivering written notice to the other party at least days prior to the effective termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure the breach within 15 days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by either party to the other, whether orally, in writing or by inspection, including business plans, customer lists, pricing, technical data and trade secrets, that is designated as confidential or that reasonably should be understood to be confidential.

Obligations: Each party shall: (a) hold Confidential Information in strict confidence and use it solely to perform its obligations under this Agreement; (b) restrict disclosure to those of its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to prevent unauthorized disclosure.

Exceptions: Confidential Information does not include information that: (i) is or becomes publicly available other than through the receiving party's breach; (ii) is rightfully received from a third party without breach of an obligation of confidentiality; or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Representations, Warranties and Indemnification

Each party represents that it has the full right, power and authority to enter into this Agreement. Service Provider represents that services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of its gross negligence, willful misconduct or material breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

Entire Agreement and Amendments

This Agreement, together with any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. No amendment or modification shall be effective unless executed in writing by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or to a successor in interest to substantially all of its business without consent.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Counterparts and Electronic Signatures: This Agreement may be executed in counterparts, each of which shall be deemed an original, and electronic signatures shall be binding.
