BUSINESS SERVICES FOSTER CONTRACT

Recitals

WHEREAS, Service Provider is engaged in the business of providing business fostering, advisory, and operational support services including business development, mentorship, and transitional project management; and

WHEREAS, Client desires to retain Service Provider to furnish such services on the terms and conditions set forth in this Contract, and Service Provider is willing to provide the services to Client in accordance with this Contract;

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the parties agree as follows.

Scope of Work

Service Provider shall perform the business fostering services described below. The scope may include but is not limited to business planning, partner introductions, market assessment, training, mentorship, transitional operations, and performance monitoring. Services will be performed pursuant to the specifications and milestones agreed in writing by the parties.

Payment Terms

Client shall pay Service Provider the compensation set forth below in consideration for the performance of the services. All amounts are payable in U.S. dollars unless otherwise agreed.

Payment shall be due upon receipt of invoice unless otherwise specified. Client is responsible for any collection costs and reasonable attorneys' fees incurred by Service Provider in enforcing collection.

Term and Termination

This Contract shall commence on and shall continue in full force until , unless earlier terminated in accordance with this section.

Either party may terminate this Contract for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach if the breach is not cured within 15 days after written notice of such breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination, plus any applicable termination fees expressly agreed in writing.

Confidentiality

For purposes of this Contract, Confidential Information means business, technical, financial, and other non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that is or becomes publicly known through no breach of this Contract, is rightfully received from a third party without restriction, or is independently developed without use of Confidential Information.

Each party agrees to: (a) maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except as necessary to perform its obligations hereunder and subject to confidentiality obligations no less protective than those contained herein; and (c) use Confidential Information only for the purposes of performing under this Contract. These obligations survive termination for a period of .

Representations, Warranties and Indemnification

Each party represents and warrants that it has the full corporate or individual power and authority to enter into this Contract. Service Provider warrants that services will be performed in a professional manner in accordance with generally accepted industry standards. Except as expressly set forth in this Contract, Service Provider makes no other warranties, express or implied.

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's willful misconduct, negligence, or material breach of this Contract.

Governing Law; Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties shall first attempt to resolve disputes through good faith negotiation. If unresolved, disputes will be submitted to binding arbitration in the governing state under the rules of a recognized arbitration body selected by mutual agreement.

Miscellaneous Provisions

Entire Agreement: This Contract, together with any written attachments or exhibits executed by the parties, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

Amendment: No amendment or modification of this Contract shall be effective unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign its rights or delegate its duties under this Contract without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets.

Severability: If any provision of this Contract is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Notices

All notices required or permitted under this Contract shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice to the other. Notices may be delivered by hand, courier, certified mail, or email where receipt is acknowledged in writing.
