What the Business Services FS4 Is and when it’s used

The Business Services FS4 is a standardized U.S. business-services form used to document the scope, parties, fees, deliverables, and approval routing for contracted services. Typical uses include vendor onboarding, project statements of work, third-party service requests, and internal approval of external engagements. When executed electronically, the form must meet the ESIGN Act and applicable state UETA or ESRA rules for legal validity; some transactions may still require notarization or witnesses under state law. This guide explains the FS4’s required fields, signing options, retention, and common compliance considerations.

Why the FS4 matters for consistent service engagements

A clear FS4 reduces ambiguity about deliverables, billing, and responsibilities, supports auditability, and provides a single record for compliance and dispute resolution. Proper completion limits downstream risk and speeds vendor onboarding and payment processing.

Why the FS4 matters for consistent service engagements

Typical users and signers of the Business Services FS4

The FS4 is used by a mix of internal requestors, procurement or vendor management teams, and external service providers; role clarity prevents execution delays.

  • Procurement teams and contract managers who need consistent vendor commitments and audit trails for payments and approvals.
  • Finance or accounts payable staff who require clear billing terms, invoice references, and routing instructions to process payments.
  • External vendors, consultants, or subcontractors who must accept scope, timelines, and reimbursement rules before work begins.

Clearly identifying who completes each section and who signs reduces rework and helps ensure regulatory and internal controls are met.

Core components you should include on a professional FS4

A complete FS4 captures the essentials that make service engagements executable and auditable. Include these elements to reduce ambiguity and support compliance.

Parties

Full legal names and entity types for requester and service provider, with authorized representative and contact information for notices.

Scope

Concise description of services, deliverables, milestones, and acceptance criteria so billing and performance can be verified.

Fees

Payment terms, rate or fixed fee, invoice cadence, expense reimbursement rules, and any retainers or holdbacks.

Term

Effective date, duration, renewal or termination rights, and conditions that trigger automatic expiration or extension.

Approvals

Required approvals, signature order, delegated authority thresholds, and routing instructions for electronic or manual signoff.

Attachments

Referenced exhibits, SOWs, insurance certificates, W-9 or tax forms, and any confidentiality or data-handling addenda.

Step-by-step: completing and executing the FS4

Follow these sequential steps to prepare, approve, and finalize the FS4 for a typical business engagement.

  • 01
Prepare the draft: Gather SOW, pricing, and vendor tax info before populating fields.
  • 02
Internal review: Route to procurement, legal, and finance for required approvals.
  • 03
External acceptance: Send to vendor for signature and confirm any required attachments.
  • 04
Archive and distribute: Store final executed copy and notify stakeholders of execution and effective date.

Configuring an online FS4 workflow for efficient approvals

When building a digital FS4, set fields and routing to match your internal approvals and external signer expectations.

Field Configuration
Signature Order Sequential routing | approver first, vendor second
Authentication Email link or SMS code | choose based on risk
Conditional Fields Show payment details only if 'Paid' checkbox selected
Notifications Automated reminders | escalate after missed deadlines

Where to send the completed FS4 and how routing typically works

Use clear routing rules to ensure the executed FS4 reaches procurement, finance, and the vendor without delay.

  • Procurement copy: Retain for contract management and audit.
  • Finance copy: Include invoice references to enable payment.
  • Vendor copy: Provide signed PDF and any exhibits.
  • Document repository: Store the executed file in your contract management system.

Digital signing and file-format considerations

Choose a platform that supports common file types, audit trails, and integrations with your business systems.

  • File formats: PDF, DOCX, Excel
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, KBA

Ensure the selected platform can export signed documents with a tamper-evident audit trail and supports your chosen authentication level.

Backup Withholding Risk: Missing or incorrect TINs can force 24% backup withholding on payments.
I-9 Noncompliance: Employment eligibility paperwork failures can incur DHS fines ($281–$2,789 per violation).
Unenforceable Agreement: Improper authority to sign or missing essential terms can render the contract unenforceable.
Data Breach Fines: Insufficient controls for protected data may trigger HIPAA or state data protection penalties.
Notary/Witness Errors: Missing acknowledgements or incorrect notarization may invalidate certain filings or deeds.

Common mistakes that delay FS4 processing

  • Leaving the 'effective date' blank or using inconsistent date formats causes downstream disputes about obligations and payment start dates.
  • Failing to attach the referenced SOW or pricing exhibit forces manual follow-up and often requires re-execution of the form.
  • Using initials where a signature is required or omitting signer titles can prevent vendor setup and invoice approval.
  • Entering an incorrect tax identification number or mismatched legal name triggers backup withholding and slows payments.
