What the Business Services FTL Contract Is

The Business Services FTL Contract is a written agreement used by businesses to define full truckload (FTL) service terms, responsibilities, pricing, delivery schedules, liability limits, and performance standards for freight carriers and shippers. It sets commercial terms such as pickup and delivery windows, freight rates, accessorial charges, detention and demurrage rules, insurance and indemnity obligations, force majeure clauses, and remedies for breach. The contract is used to govern recurring FTL relationships or a single-shipment arrangement where clarity on service levels and financial exposure is required.

Why a Clear FTL Contract Matters

A well drafted Business Services FTL Contract reduces disputes, clarifies cost allocation, and limits unexpected liability by documenting rates, turnaround expectations, and claims procedures in one place.

Why a Clear FTL Contract Matters

Who Typically Completes This Contract

Use the appropriate signatory role and ensure internal approvals are recorded before execution to avoid later enforcement issues.

  • Logistics Manager or Carrier Relations: negotiates rates, schedules, and service-level expectations between shipper and carrier.
  • Procurement or Purchasing: sets payment terms, audit rights, and vendor onboarding requirements tied to company procurement policy.
  • General Counsel or Contracts Attorney: reviews indemnities, insurance limits, limitation of liability, and governing law provisions.

Essential Elements to Include in a Professional FTL Contract

Draft the contract to cover operational, commercial, and legal elements so both parties understand expectations and recourse.

Parties

Full legal names and business entity types for shipper and carrier, including DBA names and registered addresses to ensure enforceability.

Scope

Describe covered services (FTL lanes, commodity types, handling constraints), exclusions, and whether the contract is exclusive or non-exclusive.

Rates

Specify freight rates, fuel surcharges, accessorial charges, rate adjustment formula, billing frequency, and acceptable invoice documentation.

Liability

State insurance requirements, cargo liability limits, indemnity obligations, and procedures for filing and resolving claims.

Performance

Set pickup/delivery windows, on-time metrics, detention/demurrage rules, and service-level credits or penalties for missed performance.

Termination

Frequent Preparation Mistakes

  • Using vague performance metrics that leave delivery windows undefined, creating room for disputes and service disputes during peak shipping seasons.
  • Failing to attach required exhibits such as insurance certificates, rate tables, or BOL templates, which can delay claims or payments.
  • Permitting non-authorized personnel to sign without delegated authority documentation, risking invalidation or post-signature rescission.
  • Omitting dispute resolution procedures (mediation/arbitration) and governing law, which increases litigation costs across jurisdictions.
